Job Overview

We are looking for an experienced and qualified Company Secretary to manage corporate secretarial functions, regulatory compliance, and legal documentation related to NCD and Bond issuances. The ideal candidate should have robust hands-on experience in NCD and Bond fundraising, debt capital markets, corporate governance, and regulatory compliance.

The candidate will be responsible for ensuring end-to-end compliance and coordination for debt fundraising transactions, including issuance of Non-Convertible Debentures (NCDs), Bonds, and other debt instruments.

Key Responsibilities

- NCD & Bond Issuance / Fundraising

- Manage and support end-to-end NCD and Bond issuance processes, from structuring and documentation to allotment and closure.
- Coordinate with internal teams, investors, merchant bankers, arrangers, debenture trustees, legal advisors, and regulatory authorities.
- Prepare and review offer documents, Information Memorandum, Term Sheets, Board resolutions, and other transaction-related documentation.
- Ensure timely completion of regulatory filings, approvals, and post-issuance compliances.
- Support fundraising activities through private placement and other applicable debt issuance mechanisms.
- Maintain proper records and documentation of all debt fundraising transactions.

Corporate Secretarial & Compliance
- Manage statutory and regulatory compliances under the Companies Act, 2013, SEBI regulations, and other applicable laws.
- Handle Board Meetings, General Meetings, agenda preparation, notices, minutes, and maintenance of statutory records.
- Ensure compliance related to issue, allotment, redemption, and transfer of NCDs and Bonds.
- Coordinate with the Registrar and Transfer Agent (RTA), Debenture Trustee, Depositories, and other intermediaries.
- Ensure timely filing of statutory forms and returns with the Ministry of Corporate Affairs (MCA), SEBI, and other applicable regulatory authorities.
- Monitor regulatory updates and ensure timely implementation of changes applicable to debt issuance and corporate secretarial functions.

3. Debt Capital Market Compliance
- Ensure compliance with applicable SEBI (Issue and Listing of Non-Convertible Securities) Regulations and other relevant debt market regulations.
- Handle documentation and compliance for listed and unlisted NCDs and Bonds, as applicable.
- Coordinate for listing-related documentation, ISIN creation, allotment, and corporate action processes.
- Ensure timely submission of disclosures, undertakings, certificates, and other regulatory documents.
- Maintain compliance trackers and ensure timely closure of regulatory observations.

4. Stakeholder Coordination
- Liaise with stock exchanges,



SEBI, MCA, depositories, debenture trustees, merchant bankers, legal counsels, and other regulatory stakeholders.
- Coordinate with finance, legal, treasury, and business teams for fundraising and compliance activities.
- Provide support during audits, due diligence, inspections, and regulatory reviews.
- Ensure accurate and timely reporting to senior management.

Required Skills & Qualifications
- Qualified Company Secretary (CS) is mandatory.
- Minimum 5 years of relevant professional experience in Company Secretarial, Debt Capital Markets, NCD Issuance, Bond Issuance, or Fundraising.
- Strong hands-on experience in NCD and Bond issuance and fundraising transactions.
- Good knowledge of Companies Act, 2013, SEBI regulations, and corporate secretarial compliance.
- Experience in handling private placement of NCDs, debt securities documentation, and regulatory filings.
- Strong coordination, documentation, analytical, and communication skills.
- Ability to independently manage multiple transactions and compliance activities.
- Experience in NBFC, Financial Services, Investment Banking, Capital Markets, or a similar industry will be preferred.
