KEY RESPONSIBILITIES
1. Finance Function Oversight
• Own end-to-end financial accounting, reporting, and MIS in accordance with the RBI and MCA requirements for an NBFC.
- Prepare and present monthly, quarterly, and annual financial statements to management and the Board.
- Lead annual budgeting, forecasting, and variance analysis; provide actionable financial insights.
- Oversee treasury operations including liquidity management, fund planning, and borrowing cost optimisation.
- Manage statutory and internal audits; coordinate with external auditors and ensure timely closure.
- Maintain and strengthen internal financial controls, SOPs, and risk management frameworks.
- Supervise accounts payable/receivable, payroll, and tax compliance (GST, TDS, Income Tax).
1. Company Secretarial Functions
• Act as the focal point for all Company Secretarial matters and interface with the Board, committees, and shareholders.
- Organise, convene, and minute Board meetings, Committee meetings, and Annual/Extra-Ordinary General Meetings in compliance with the Companies Act, 2013.
- Maintain statutory registers, records, and filings with the Registrar of Companies (RoC) – annual returns, charge registrations, director disclosures, etc.

- Manage corporate actions including allotment of securities, transfer/transmission, buy-back,
and dividend processing.
- Draft, review, and file resolutions, agreements, and regulatory correspondence.
- Liaise with legal counsel and advisors on corporate structuring, M&A; due diligence, and contract reviews.

Regulatory Compliance (RBI / NBFC)
• Ensure full compliance with RBI Master Directions applicable to NBFCs.
- Prepare and submit periodic regulatory returns and filings with RBI, SEBI and other statutory bodies.
- Monitor regulatory developments, circulars, and policy changes; assess impact and drive implementation.
- Own and maintain the compliance calendar; track regulatory deadlines and ensure zerobreach adherence.
- Lead compliance reviews, internal audits, and regulatory inspections; manage closure of observations.
- Coordinate with the Grievance Redressal Officer / Compliance Officer / Nodal Officer roles as required under RBI regulations.
1. Governance & Stakeholder Management
• Support the CFO and Director - Finance in presentations to the Board, Audit Committee, and Risk Committee.
- Build and maintain productive relationships with bankers, lenders and investors.
- Manage relationships with RoC, RBI regional offices, and other regulatory authorities.
- Mentor and guide junior team members in finance, compliance, and secretarial functions.
KEY REQUIREMENTS
Qualifications
- Semi or fully qualified Chartered Accountant (CA) or Cost & Management Accountant (CMA)
– mandatory.
- Company Secretary (CS) qualification is strongly preferred; candidates holding both CA/CMA
- CS will be given priority.
• MBA (Finance) from a reputed institution may be considered in lieu of CS.
Experience
- 5-8 years of post-qualification experience, with at least 3 years in an NBFC, Bank, or Fintech
-environment.
- Demonstrable experience handling RBI regulatory compliance and secretarial functions independently.
- Hands-on experience with statutory filings – RoC, RBI etc.
- Experience in heading a team of at least 5 executives.
- Experience in coordinating Board/Committee meetings and drafting Board resolutions/minutes.
- Working knowledge of ALM, NPA provisioning norms, Fair Practices Code, and KYC/AML frameworks.

Skills & Competencies
- Robust command of Ind AS, Companies Act 2013, FEMA, and RBI NBFC regulations.
- Proficiency in Tally / ERP systems, MS Excel (advanced), and regulatory portals (MCA21,
CAMS, ORFS).
- Excellent written and verbal communication; ability to draft Board papers, regulatory responses, and legal notices.
- High integrity, attention to detail, and ability to work under deadline pressure with minimal supervision.
- Strong analytical mindset with the ability to translate complex regulatory requirements into actionable processes.
KEY PERFORMANCE INDICATORS
- Maintaining accounts in Tally as per the RBI requirements for a Base – Layer NBFC.
- Timely submission of all regulatory and statutory returns (100% on-time compliance calendar adherence).
- Zero regulatory penalties or adverse observations from RBI / RoC inspections.
- Clean audit opinion with no material weaknesses in financial controls.
- Accuracy and timeliness of financial reporting and MIS to management and Board.
- Satisfactory closure of internal audit and Board/Committee observations within agreed timelines.
- Effective stakeholder management ratings from CFO, MD, and Board.
