Role & responsibilities -
1. IPO & Capital Markets
The candidate must have meaningful hands-on experience of an IPO journey and
capital-market transactions.
Responsibilities will include:
- Lead the companys IPO strategy, preparation and execution in conjunction with
Promoters and the Board.
- Work directly with investment bankers, merchant bankers, legal advisors, auditors,
consultants and other intermediaries.
- Drive IPO readiness across financial reporting, governance, controls, documentation
and investor positioning.
- Lead financial inputs into DRHP/RHP and associated diligence processes.
- Manage valuation discussions and benchmarking with investment bankers and
advisors.
- Prepare management for institutional investor interactions and roadshows.
- Understand public-market expectations around growth, profitability, governance,
disclosure and capital allocation.
- Develop the financial and strategic narrative necessary to maximise long-term
enterprise value.
2. Private Equity & Institutional Capital Mandatory
The candidate must have direct experience dealing with Private Equity / institutional
investors and sophisticated financial stakeholders.
Key responsibilities include:
- Lead PE / institutional fund-raising discussions where required.
- Manage relationships with existing and prospective institutional investors.
- Lead valuation, transaction structure and financial negotiations.
- Coordinate financial and commercial due diligence.
- Manage investor data rooms and information requirements.
- Understand shareholder agreements, investment structures, dilution and exit
mechanisms from a commercial perspective.
- Evaluate di-erent sources of capital and recommend the optimal capital structure for
the company.
3. Mergers & Acquisitions Mandatory
The candidate must have successfully participated in or led M&A; transactions and
associated due diligence.
Responsibilities include:
- Identify and financially evaluate potential acquisitions, JVs and strategic investments.
- Lead financial and commercial due diligence.
- Develop acquisition and valuation models.
- Assess synergies, risks,
integration requirements and return on investment.
- Work with investment bankers, legal advisors, tax advisors and consultants through
the transaction lifecycle.
- Participate actively in transaction negotiations and deal structuring.
- Support post-acquisition financial integration and monitor achievement of the investment thesis.
4. Investor Relations & Board Representation
The CFO will be a key external representative of management.
The candidate must possess the personality, maturity and communication capability to represent the organisation confidently before:
- Board of Directors
- Institutional investors
- Private Equity funds
- Investment and merchant bankers
- Analysts
- Banks and financial institutions
- Auditors and professional advisors
The CFO will:
- Lead investor meetings and investor calls.
- Present financial performance and strategic plans to the Board.
- Communicate the companys business model, growth strategy and financial
performance credibly.
- Handle challenging investor and Board questions with confidence and transparency.
- Build long-term credibility with the investment community.
5. Strategic Finance & Enterprise Value Creation
- Partner with Promoters, MD and Board on long-term financial strategy.
- Evaluate capital allocation across organic expansion, acquisitions and strategic
investments.
- Build sophisticated financial models and scenario analyses.
- Evaluate major CAPEX and investment decisions.
- Drive improvements in ROCE, cash generation and overall enterprise value.
- Support long-term growth while maintaining an appropriate capital structure.
6. Financial Planning, Cost Control & Business Performance
While transaction and capital-market responsibilities are predominant, the CFO must
also possess strong fundamentals in operational finance.
Responsibilities include:
- Lead annual budgeting and long-range financial planning.
- Establish robust forecasting and performance-review mechanisms.
- Drive cost-control initiatives and profitability improvement.
- Monitor plant, product and customer profitability.
- Improve working-capital and cash-flow management.
- Establish strong MIS and management dashboards.
- Work with Operations, Purchase, Sales and Plant leadership to improve financial performance.
7. Governance, Controls & Finance Leadership
- Provide leadership to the overall finance organisation.
- Ensure strong corporate governance and financial controls.
- Oversee accounting, audit, taxation, treasury and statutory compliance through the
respective functional teams.
- Strengthen systems and processes required for an institutionally managed and
publicly listed organisation.
- Develop a robust second line of finance leadership.
Mandatory Candidate Requirements:
Candidates should be considered only if they demonstrate substantial experience
across all three areas below:
IPO / Capital Markets
Hands-on involvement in an IPO journey, including interaction with
investment/merchant bankers, advisors, auditors and institutional investors.
Private Equity
Direct experience working with PE / institutional investors, including fundraising,
investment transactions, investor management or similar engagements.
Mergers & Acquisitions
Direct experience in M&A; transactions, including valuation, financial/commercial due
diligence, transaction structuring and negotiations.
Additional Requirements
- Minimum 20 years of progressive finance experience.
- Significant experience in senior finance leadership positions.
- Strong corporate finance, valuation and financial modelling capabilities.
- Strong budgeting, cost-control and financial-planning experience.
- Experience working within a reasonably large and professionally managed
organisation.
- CA or equivalent senior professional finance qualification strongly preferred.
