Job Title: (Sr) Legal Counsel

The Legal function plays a pivotal role in ensuring EIM’s growth is compliant, secure, and strategically aligned with the complex regulatory workplace of the energy sector.

Role Overview The Senior Legal Counsel will serve as the key legal and regulatory advisor to EIM’s leadership, managing a wide range of corporate, commercial, project, and regulatory legal matters. This role demands a business-oriented lawyer who combines deep subject matter expertise with a solution-driven mindset to support the company’s expansion in renewable energy and electric mobility infrastructure.

Key Responsibilities

Strategic Legal Advisory

- Advise senior management on legal, regulatory, and contractual matters across energy, EV, and infrastructure businesses.
- Provide insights on Electricity Act, Renewable Energy policies, FDI, environmental laws, and related regulatory frameworks.
- Guide leadership on risk assessment, compliance, and business structuring decisions.

Transactional & Contract Management

- Draft, vet, and negotiate contracts including:

- Power Purchase Agreements (PPAs)
- EPC, O&M;, Supply, and Service Contracts (1)
- Joint Venture and Shareholder Agreements
- Land Lease, Licensing, and Concession Agreements
- Support commercial and project teams in end-to-end deal execution and risk mitigation.

Financing: - Draft, vet,



negotiate agreements with banks and financial institutions. (1)

- NDA, Financing, Security, and Loan Documentation

Project & Corporate Compliance

- Oversee compliance under Companies Act, SEBI, FEMA, and labour laws.
- Ensure corporate governance standards across group entities.
- Develop and implement internal policies, SOPs, and compliance frameworks.

Dispute Resolution & Litigation

- Manage pre-litigation advisory, dispute strategy, and coordinate with external counsels for arbitration or litigation.
- Support senior leadership in settlement strategy and risk exposure management.

Cross-functional Leadership

- Collaborate with finance, business development, and project execution teams on project financing, joint ventures, and acquisitions.
- Mentor internal legal team members, external consultants, and ensure organizational legal capability building.

Qualifications & Experience

Education:

- LLB (Tier 1 Institution: NLSIU / NALSAR / NUJS / GNLU / ILS / DU or equivalent)
- LLM (preferred)

Experience:

- Minimum 3 to 8 years of experience in Electrical Mobility, Financing, Contracts, and projects practice with Reputed corporates
- Experience with Tier 1/2 law firms will be preferred
- Exposure to land acquisition, financing, regulatory compliance, and large-scale contract negotiation.
