Mergers and Acquisitions (M&A;) are vital strategic levers to enhance the value of a business—whether to generate growth, enhance capabilities or reduce operational costs. It is also a chance for business transformation, adopting new business models, workflows and workplace cultures.

Increased disruptions, industry convergence, technological changes and the dramatic shift to recent business models to stay competitive means that value creation in deals has never been more critical. With the bar getting higher and deals becoming more complex and expensive, creating deal value in M&A; is more challenging than ever.

The DVCS practice advises clients on HR, organisation, and workforce-related matters across acquisitions, divestitures, carve-outs, mergers, and large-scale transformation initiatives. The role offers an opportunity to lead complex engagements involving HR Due Diligence, Post-Merger Integration (PMI), workforce analytics, and organisational change management.

Core Deal Value Creation roles & Responsibility: -

HR Due Diligence (Buy-side & Sell-side)

- Lead end-to-end HR Due Diligence engagements for M&A;, PE, carve-out, and demerger transactions.
- Assess workforce composition, employee costs, compensation structures, benefits, ESOPs, and HR-related liabilities.
- Review labour law compliance, employee litigation, talent dependencies, attrition risks, and retention concerns.
- Evaluate HR operating models, governance frameworks, HRIS/HRMS, and shared service structures.
- Prepare diligence reports, red flag summaries, management presentations, and deal structuring recommendations.
- Participate in management discussions and diligence meetings.

Post-Merger Integration (PMI)

- Lead HR integration workstreams and Day-1/Day-100 readiness planning.
- Develop integration roadmaps covering organisation design, policy harmonisation, compensation & benefits alignment, HR systems integration, and workforce restructuring.
- Support Target Operating Model (TOM) design and synergy realisation.
- Track integration milestones, risks, and PMO reporting.

Carve-Out & Separation Support

- Support HR separation, divestiture, and demerger projects.
- Assess HR dependencies, standalone operating model requirements, and TSA design.
- Manage employee transition, communication, and compliance activities.
- Evaluate standalone HR costs and separation impacts.

Workforce Analytics & Financial Modelling

- Build workforce models, headcount bridges, attrition analyses, cost waterfalls, and synergy models.
- Conduct employee cost analysis, restructuring assessments, and HR benchmarking exercises.
- Translate workforce insights into executive and board-level presentations.

Change Management & Stakeholder Engagement

- Develop change management, communication, and employee engagement strategies.
- Advise CHROs, HR leaders, and C-suite stakeholders throughout the transaction lifecycle.
- Collaborate with legal, financial, tax, IT, and other advisory workstreams.
- Support proposals, client pitches, thought leadership, and practice development initiatives.
