Job Summary

The role is focused on contract reviews (service delivery as well as procurement)



and it is based out of Gurugram office of KDN India.

KPMG LLP, the Canadian member firm of the KPMG international network of professional services firms, provides audit, tax and advisory services to a wide variety of clients.

The Canada

Office of General Counsel (OGC) is a high performing team of lawyers supporting range of legal issues. The contracts group oversees KPMG’s contracting needs across Canada and plays a key role in the drafting and negotiation of engagement letters, MSAs, SOWs, NDAs, teaming agreements, subcontractor agreements, and vendor contracts, technology contracts, and other agreements related to the firm’s services. The team also supports the business on contract issues relating to proposals and tenders, and procurement contracts with the firm’s suppliers/vendors. The successful candidate is likely to be already providing similar contracting services as an in-house lawyer in another consultancy/professional services firm or similar environment. The person appointed will be an effective team player and a quick learner, interested in the opportunity to join the KDN India legal team servicing the Canadian member of one of the world’s largest networks of professional services providers.

The new recruit will complement the activities of the members of the onshore team including:

•Review, draft, and negotiate a wide range of commercial, technology, procurement, and client-facing agreements.





•Identify legal and business risks and provide practical, risk-based advice to stakeholders.

•Advise on key contractual issues, including liability, indemnities, IP, privacy, confidentiality, insurance, and policy compliance.

•Support legal risk, compliance, and contracting initiatives, including maintenance of templates and standard positions.

•Contribute to playbooks, clause libraries, stakeholder training, and continuous improvement of contracting processes and tools.

This role is for you if you have the below

Mandatory technical & functional skills

Commercial Contract Review (70-80%)

•Review, draft, and negotiate client engagement letters, MSAs, SOWs, NDAs, teaming agreements, subcontractor agreements, and vendor contracts.

•Identify legal and business risks and provide practical recommendations.

•Advise engagement teams on liability, indemnities, IP, confidentiality, privacy, insurance, and contracting policies.

•Support escalation of more complex matters to senior counsel.

Risk and Compliance Support (10-15%)

•Assist with development of contract compliance guidance for key client agreements.

•Help maintain contract templates and standard positions.

•Support internal legal and risk initiatives.

Knowledge Management and Training (10-15%)

•Contribute to playbooks, clause libraries, and guidance materials.

•Support presentations and training sessions for business stakeholders.

•Assist with continuous improvement of contracting processes and tools.

Educational qualifications – Law graduate

Work experience - The candidate should have 4-6 years of relevant experience drafting and negotiating commercial and technology related contracts, preferably in a professional services environment.
