We are looking for a Senior Legal Executive to oversee and support legal matters across Aarii Ventures. The role will involve handling corporate, commercial, investment, AIF, compliance, due diligence, and transactional matters.
The ideal candidate should have strong legal drafting and analytical skills, sound knowledge of corporate and commercial laws, and relevant exposure to investments, AIFs,
private equity, venture capital, or financial services.
Responsibilities:
- Oversee legal matters, ensuring timely and effective resolution of legal requirements.
- Draft, review, negotiate, and finalize legal agreements, contracts, and transaction documents.
- Manage legal due diligence for prospective investments, transactions, and portfolio companies, including identification and assessment of legal risks.
- Handle investment-related documentation, including term sheets, shareholder agreements, subscription agreements, NDAs, and other transaction documents.
- Provide legal guidance to the investment and management teams on transactions, investment structures, and portfolio company matters.
- Conduct and oversee legal research on corporate, commercial, investment, AIF, securities, and startup-related laws and regulations.
- Ensure statutory, regulatory, corporate, and compliance requirements are appropriately monitored and addressed.
- Maintain oversight of legal records, agreements, compliance trackers, corporate documents, and other legal databases.
- Identify potential legal and regulatory risks and provide practical recommendations to management.
- Prepare and review legal opinions, notes, reports, summaries, and other documentation for management and internal stakeholders.
- Manage coordination with external legal advisors, Company Secretaries, consultants, and other skilled advisors.
- Oversee corporate governance matters, including board documentation, resolutions, filings, and other corporate actions.
- Monitor changes in applicable laws and regulations and assess their impact on the organization and its investments.
- Develop and maintain legal processes, templates, trackers, and documentation standards.
- Review legal work and provide guidance to team members to ensure quality, consistency, and timely completion of assignments.
- Serve as the primary point of contact for day-to-day legal, compliance, corporate governance, and transactional matters.
Requirements:
- LL.B. degree from a recognized university.
- 5–8 years of relevant legal experience in a law firm, corporate legal team, investment firm, family office, AIF, Private Equity /Venture Capital firm, NBFC, financial services company, or similar organization.
- Strong experience in corporate and commercial law, with exposure to investments, AIFs, Private Equity /Venture Capital, startup transactions, securities, or financial services preferred.
- Experience in drafting, reviewing, negotiating, and executing commercial and investment-related agreements.
- Strong understanding of corporate governance, legal documentation, and regulatory compliance.
- Excellent legal research, drafting, negotiation, and analytical skills.
- Strong attention to detail and ability to independently handle multiple legal matters.
- Good communication and stakeholder management skills.
- Proficiency in Microsoft Office.
Working Days: Monday through Friday.
02nd and 04th Saturdays are off, and all Sundays are off.
Working Saturdays are half days.
Pay: ₹500,000.00 - ₹700,000.00 per year
