We are seeking a qualified Company Secretary to manage corporate compliance, secretarial functions, corporate governance, statutory filings, Board and shareholder matters, and coordination with legal advisors, auditors, regulators, and senior management.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, Rules, and applicable corporate laws.
- Monitor statutory changes and assess their impact on the Company.
- Prepare and file ROC, MCA, and other statutory forms, returns, and disclosures.
- Maintain statutory registers, secretarial records, and documentation.
- Ensure timely annual and event-based filings.
- Coordinate with statutory authorities and regulators.
- Maintain the compliance calendar.
2. Board & Shareholder Management
- Organize Board Meetings, Committee Meetings, and General Meetings.
- Prepare agendas, notices, explanatory statements, and supporting documents.
- Draft and finalize Board and shareholder resolutions.
- Prepare and maintain meeting minutes.
- Ensure compliance with meeting timelines, quorum, and voting requirements.
- Maintain records of directors, Board composition, and committees.
3. Corporate Governance
- Support sound corporate governance practices.
- Ensure compliance with related-party transaction requirements.
- Maintain director and Key Managerial Personnel disclosures.
- Monitor conflicts of interest and governance matters.
4. Fundraising & Corporate Transactions
- Support equity and debt fundraising transactions.
- Handle secretarial documentation for private placements, rights issues, preferential allotments, share transfers, securities issuance, and ESOPs.
- Support investments, acquisitions, due diligence, and corporate restructuring.
- Maintain capitalization tables and shareholding records.
5. Legal Documentation & RBI Compliance
- Coordinate implementation of Shareholders' Agreements, Share Subscription Agreements, Investment Agreements, ESOP documentation, and other corporate agreements.
- Track contractual obligations and compliance requirements.
- Coordinate with external legal counsel.
- Support RBI/FEMA-related compliances, foreign investment filings, and coordination with Authorized Dealer Banks, wherever applicable.
6. Audit & Compliance Monitoring
- Coordinate with Secretarial Auditors, Statutory Auditors, Internal Auditors, and legal advisors.
- Support due diligence and audit documentation.
- Track and close audit observations.
- Maintain compliance trackers and escalate potential compliance gaps.
Qualifications & Experience
- Qualified Company Secretary (Member of ICSI).
- 1-2 years of relevant post-qualification experience.
- Experience in a CS Firm, startup, private equity/venture capital-backed company, or high-growth organization is preferred.
- Additional qualification in Law/LLB is an advantage.
- Exposure to fundraising, investor documentation, SHA/SSA, ESOP, and RBI compliance is an advantage.
Required Skills
- Solid knowledge of the Companies Act, 2013.
- Understanding of corporate governance and Board processes.
- Strong drafting and documentation skills.
- Ability to interpret legal and commercial agreements.
- Good stakeholder management and communication skills.
- High attention to detail and ability to manage multiple deadlines.
Key Performance Indicators
- Timely statutory and secretarial filings.
- Timely conduct of Board, Committee, and Shareholder Meetings.
- Accuracy of Board minutes and resolutions.
- Effective compliance calendar management.
- Timely closure of audit and compliance observations.
