Job Summary
ANVKA Healthcare Pvt. Ltd. is looking for an experienced Company Secretary & Legal professional to manage corporate secretarial functions, legal affairs, regulatory compliance, licensing, governance, risk management, and statutory requirements across the organizations multiple business units.
The ideal candidate should have solid knowledge of corporate laws, secretarial standards, healthcare/medical-device regulations, regulatory compliance, contract management, and corporate governance.
Key Responsibilities
1. Company Secretarial & Corporate Governance
- Manage Board of Directors and Committee meetings, including notices, agendas, board packs, and minutes.
- Maintain statutory registers, corporate records, resolutions, policies, and governance documentation.
- Prepare and manage statutory filings, returns, submissions, and reports.
- Ensure compliance with applicable corporate laws and Secretarial Standards.
2. Legal Affairs & Contract Management
- Draft, review, vet, and negotiate vendor contracts, service agreements, distributor agreements, NDAs, MOUs, and lease agreements.
- Provide legal advice to management on business decisions, statutory obligations, liabilities, and legal matters.
- Coordinate with external legal counsel for litigation, disputes, notices, claims, and legal proceedings.
- Maintain proper records and documentation related to legal cases and disputes.
3. Regulatory & Licensing Compliance
- Maintain a centralized repository of statutory and operational licenses across business units.
- Monitor license validity, renewal timelines, inspections, and regulatory requirements.
- Track changes in healthcare, medical-device, manufacturing, and service regulations.
- Coordinate with relevant regulatory authorities and ensure timely responses to notices and observations.
- Support regulatory inspections, hearings, audits, and approvals.
4. Compliance & Risk Management
- Conduct internal compliance audits and identify gaps, legal exposures, and operational risks.
- Recommend corrective and preventive actions and monitor implementation.
- Develop compliance monitoring systems, KPIs, dashboards, and reporting mechanisms.
- Prepare periodic compliance and risk reports for senior management and the Board.
5. Policy Development & Training
- Develop and review company-wide policies related to compliance, ethics, legal processes, governance, and operational standards.
- Keep policies updated in line with changing laws and regulatory requirements.
- Conduct training programs on compliance, legal awareness, ethical business practices, and risk mitigation.
- Promote a culture of accountability, transparency, and ethical conduct.
6. Building & Facility Compliance
- Monitor building-related licenses and approvals, including fire safety, electrical compliance, environmental clearances, water safety, and security certifications.
- Track renewals, inspections, and compliance schedules.
- Coordinate with relevant authorities and maintain complete documentation of approvals, certificates, and inspection reports.
Educational Qualification
- Bachelor’s Degree in Law (LLB), Business Administration, Healthcare Management, or a related field.
- Master’s Degree in Law (LLM), Business Administration (MBA),
or equivalent qualification will be preferred.
- Professional qualification as a Company Secretary (CS) from a recognized institute is highly desirable.
Required Experience
- 10-15 years of progressive experience in company secretarial functions, legal operations, compliance management, or regulatory affairs.
- Experience in healthcare, medical devices, manufacturing, or another regulated industry is preferred.
- Experience handling multi-division or multi-business-unit compliance frameworks will be an advantage.
Preferred Skills & Knowledge
- Strong knowledge of Corporate Laws, Secretarial Standards, Corporate Governance, and Regulatory Compliance.
- Understanding of healthcare regulations, medical-device compliance, clinical regulatory frameworks, and quality management protocols.
- Strong contract drafting, review, and negotiation skills.
- Excellent analytical, problem-solving, and risk-assessment abilities.
- Strong documentation and organizational skills.
- Excellent written and verbal communication skills.
- Ability to coordinate with senior management, regulatory authorities, auditors, legal counsel, and cross-functional teams.
- Strong attention to detail and ability to manage multiple compliance activities simultaneously.
