AVP – ARC Business – Execution

ABOUT THE ORGANISATION A leading RBI-registered Asset Reconstruction Company (ARC) engaged in the acquisition and resolution of stressed assets from banks and financial institutions.

The organisation focuses on structured and efficient resolution strategies, including restructuring, enforcement and asset monetisation, with an emphasis on value maximisation and timely recovery.

ROLE OVERVIEW The AVP – ARC Business – Execution will be responsible for managing the end-to-end execution of stressed-asset transactions and resolution initiatives .

The role will involve transaction evaluation, financial analysis, due diligence, structuring, bidding, documentation, transaction closure, asset onboarding and coordination with internal and external stakeholders.

This is a purely execution-oriented role and does not involve Business Development, Sales, Marketing, Origination or Asset Acquisition.

KEY RESPONSIBILITIES

1. Transaction Evaluation & Execution

- Evaluate stressed-asset opportunities referred for execution.
- Analyse borrower exposures, outstanding debt, security, recovery prospects and available information.
- Coordinate financial, legal, technical and commercial due diligence.
- Review valuations, cash flows, security cover and potential resolution scenarios.
- Prepare transaction evaluation notes and management presentations.

2. Deal Structuring & Bidding

- Support structuring of stressed-asset transactions within applicable regulatory and internal frameworks.
- Coordinate preparation and submission of bids under Swiss Challenge, bilateral and competitive processes.
- Review transaction structures, pricing assumptions and financial models.




- Coordinate with relevant stakeholders to ensure timely completion of bidding processes.

3. Transaction Closure & Asset Onboarding

- Drive post-bid execution and transaction closure activities.
- Coordinate documentation, conditions precedent and regulatory requirements.
- Work closely with Legal, Risk, Finance, Compliance and Resolution teams.
- Ensure smooth onboarding and transfer of assets following transaction closure.
- Track and resolve outstanding transaction-related matters.

4. Resolution Execution Support

- Work closely with the Asset Resolution team in implementing approved resolution strategies.
- Support restructuring, enforcement, settlement and asset monetisation initiatives.
- Monitor resolution milestones, recovery actions and execution timelines.
- Provide periodic transaction and resolution updates to senior management.

5. Cross-Functional Stakeholder Management

- Coordinate with internal teams and external legal, valuation, diligence and advisory professionals.
- Ensure timely exchange and validation of transaction information.
- Identify execution issues and coordinate their resolution.
- Escalate material transaction risks, delays and dependencies to senior management.

6. MIS, Governance & Compliance

- Maintain transaction-level MIS and execution trackers.
- Monitor transaction timelines, documentation and closure milestones.
- Ensure adherence to applicable RBI guidelines, regulatory requirements and internal policies.
- Maintain appropriate transaction documentation and records.
- Identify opportunities to improve transaction execution processes.

REQUIRED EXPERIENCE & QUALIFICATIONS
- 10–15 years of relevant experience in ARC, Banking, NBFC, Special Situations, Stressed Assets, Corporate Credit, Debt Resolution or Private Debt .
- Demonstrated experience in transaction execution, stressed-asset resolution or distressed-debt processes .
- Experience in due diligence, transaction structuring, bidding, documentation and closure.
- MBA Finance / CA / CFA / CS / LLB or equivalent qualification preferred.

REQUIRED SKILLS & COMPETENCIES
- Strong understanding of SARFAESI, IBC 2016, RBI regulations relating to transfer of loan exposures and debt restructuring mechanisms .
- Strong financial analysis and modelling skills.
- Experience in stressed-asset transaction execution and resolution.
- Strong understanding of bidding and transaction-closure processes.
- Excellent project and transaction management skills.
- Solid documentation and analytical capabilities.
- Ability to coordinate effectively with Legal, Risk, Finance, Compliance and Resolution teams.
- Strong communication and management-presentation skills.
