We are looking for an experienced Manager – Legal to manage the organization’s corporate legal, secretarial, governance, and regulatory compliance functions.
The role will work closely with the senior management, business functions, external legal advisors, auditors, and regulatory authorities to ensure robust corporate governance, statutory compliance and proactive management of legal and regulatory risks.
Key Roles & Responsibilities
Corporate Legal Management
- Provide legal advice to management and business functions on corporate, commercial, contractual, regulatory, and operational matters.
- Draft, review, negotiate, and finalize commercial agreements, including customer and vendor contracts, service agreements, NDAs, consultancy agreements, partnership arrangements, technology agreements, and other business contracts.
- Identify contractual and legal risks and recommend practical risk-mitigation measures while supporting business objectives.
- Develop and maintain standard legal templates, approval matrices, and legal SOPs.
- Support management in commercial negotiations, strategic transactions, restructuring, investments, joint ventures, acquisitions, and other corporate initiatives.
- Conduct and coordinate legal due diligence as required.
Corporate Secretarial & Governance
- Manage the complete corporate secretarial and governance function of the company and its group entities, as applicable.
- Ensure timely compliance with applicable Companies Act requirements, rules, secretarial standards, and other corporate regulations.
- Organize and coordinate Board Meetings, Committee Meetings, Annual General Meetings, and Extraordinary General Meetings.
- Prepare agendas, notices, resolutions, minutes, explanatory statements, attendance records, and other statutory documentation.
- Maintain statutory registers, corporate records, minute books, shareholding records, and other statutory documentation.
- Manage statutory filings and regulatory submissions with relevant authorities within prescribed timelines.
- Advise the Board and senior management on corporate governance practices, statutory obligations, and compliance requirements.
- Track implementation of Board and Committee decisions and ensure appropriate documentation and follow-up.
- Support matters relating to appointment/resignation of Directors and Key Managerial Personnel, changes in capital structure, share allotments/transfers, corporate restructuring, and other corporate actions.
- Coordinate with statutory auditors, secretarial auditors, internal auditors, consultants, and regulatory authorities.
Compliance & Regulatory Management
- Develop, maintain, and monitor the organization’s legal and regulatory compliance framework.
- Ensure compliance with applicable corporate, commercial, employment, regulatory, and industry-specific requirements.
- Maintain compliance calendars and monitor timely completion of statutory and regulatory obligations.
- Regularly review changes in laws and regulations and assess their impact on the organization.
- Provide updates and recommendations to management regarding important legal and regulatory developments.
- Conduct periodic compliance reviews and support statutory, secretarial, and internal audits.
- Develop and update policies relating to corporate governance, compliance, related-party transactions, conflict of interest, delegation of authority, and other legal matters.
Litigation & Dispute Management
- Manage legal notices, litigation, arbitration, claims, disputes, and regulatory proceedings.
- Coordinate with external advocates, law firms, consultants, and other qualified advisors.
- Review litigation strategy, documentation, pleadings, and case progress.
- Maintain appropriate litigation and dispute trackers and provide periodic updates to management.
- Support negotiation and settlement of commercial disputes wherever appropriate.
Management & Stakeholder Support
- Act as a key legal and governance advisor to senior management.
- Work closely with Finance, HR, Procurement, Sales, Operations, Tax, Internal Audit, and other business teams on legal and compliance matters.
- Prepare periodic legal, secretarial, governance, litigation, and compliance reports for management and the Board.
- Drive legal and compliance awareness across the organization through training and internal communication.
- Build strong relationships with external legal counsel, auditors, consultants, regulators, and other stakeholders.
- Ensure confidentiality and appropriate management of sensitive corporate and legal information.
Qualification & Experience
- LL.B. / Bachelor’s Degree in Law from a recognized institution.
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India would be preferred / required depending on the position.
- Relevant experience in Corporate Legal, Secretarial, Governance, Compliance, and Contract Management, preferably within an in-house corporate environment.
- Strong knowledge of corporate and commercial laws, corporate governance requirements, statutory compliance, and contract law.
- Experience handling Board and shareholder matters, statutory filings, legal documentation, litigation, and regulatory compliance.
- Experience working with senior management, Board members, auditors, regulators, and external legal advisors.
