Our Client is seeking a highly experienced and energetic Company Secretary and Legal Head to lead their secretarial, legal and compliance functions and also function as a Profit Head, driving strategic initiatives and optimizing operational efficiencies in expanding to broader areas.

This is a critical leadership role for closely operated Non-Banking Financial Company (NBFC) belonging to reputed and leading group in Chennai.

The ideal candidate will possess a dual qualification ACS and B.L / LLB with 18 to 20 years of experience in a reputed NBFC company.

Key Responsibilities

a. Corporate Governance & Secretarial Compliance
Board Operations: Manage all Board, Committee, and Shareholder meetings, including preparing agendas, drafting minutes, and tracking action items.
Regulatory Filing: Ensure timely and flawless filing of statutory returns, forms, and financial statements with the MCA, RBI, and other regulatory bodies.
Corporate Actions: Oversee corporate actions such as rights issues, private placements, debenture issuances, and dividend distributions.




Advisory: Advise the Board of Directors on corporate governance best practices and changes in corporate laws.

b, Legal & Litigation Management
Litigation Strategy: Oversee and manage all civil, criminal, and consumer litigation cases, particularly debt recovery actions.
Contract Management: Draft, review, and negotiate high-value commercial contracts, vendor agreements, loan documentation, and lease deeds for branches.
Branch Operations Support: Provide robust legal support to the branch network across Tamil Nadu to mitigate localized operational and legal risks.
External Counsel Management: Empanel and manage external legal counsel, senior advocates, and legal agencies for effective representation.

RBI Compliance & NBFC Regulations
Regulatory Interface: Act as the primary liaison with the Reserve Bank of India (RBI) and handle inspections, audits, and queries.
