Key Responsibilities 1. Commercial & Pharma Agreements • Draft, review and negotiate commercial and pharma-related agreements, including service agreements, supply/vendor agreements, licensing/collaboration arrangements and other business contracts.

- Draft and negotiate NDAs, CDAs and confidentiality arrangements.
- Advise business teams on contractual risks, including indemnities, liability, warranties, IP, confidentiality, termination and dispute resolution.
- Support contract execution, renewals, amendments and maintenance of legal templates.
- Provide legal support on pharma/life sciences, R&D;, manufacturing, distribution, licensing and regulatory-related arrangements, as applicable.
- Litigation & Dispute Management • Independently manage the organisation's litigation and dispute portfolio, including civil, commercial, contractual and regulatory matters.
- Coordinate and manage external counsels/law firms, including briefing, strategy, documentation and case follow up.
- Review legal notices, pleadings, replies, opinions and other litigation documents.
- Track litigation timelines, exposure and outcomes and provide regular updates to management.
- Advise stakeholders on dispute strategy, legal risks,



settlements and mitigation measures. 3.

Corporate

Legal & Compliance • Ensure compliance with applicable corporate, legal and regulatory requirements.
- Support corporate governance matters, statutory filings, resolutions, authorisations and maintenance of corporate records, in coordination with the Company Secretary.
- Monitor changes in applicable laws and advise business teams on their impact.
- Support internal/external audits, legal compliance reviews and implementation of legal policies and processes.

Qualifications &

Experience • LL.B./LL.M. from a recognised institution; relevant professional qualification preferred.

- 612+ years of relevant legal experience, preferably in the pharmaceutical, healthcare, life sciences or regulated industry.
- Solid experience in commercial contract drafting and negotiation, litigation management and corporate compliances.
- Excellent legal drafting, negotiation, analytical and stakeholder-management skills.
- Ability to provide practical, commercially oriented legal advice and manage multiple matters independently.
