The Role

We are looking for a Legal Counsel who will be at the centre of our fund and deal activity. You will own the legal lifecycle of our Category I and Category II Alternative Investment Funds (AIFs), from structuring and SEBI registration through to ongoing compliance, and you will drive the documentation and negotiation of our startup investments, particularly term sheets and shareholders' agreements.

This is a hands-on role for someone who enjoys working closely with investment teams, founders, and investors, and who can turn complex regulation into practical, commercially sensible advice.

Key Responsibilities

Fund Formation & AIF Regulatory

Advise on the structuring, setup, and launch of Category I (including Angel Funds and Venture Capital Funds) and Category II AIFs, and new schemes under existing funds.

Draft and review fund documentation, including Private Placement Memorandums (PPMs), trust deeds, contribution agreements, investment management agreements, and side letters.

Manage SEBI registration applications, scheme launch filings, and correspondence with SEBI and the trustee.

Ensure ongoing compliance with the SEBI (Alternative Investment Funds) Regulations, 2012 and related master circulars, including periodic reporting, PPM audits, valuation, investor onboarding, and disclosure requirements.

Track regulatory developments affecting AIFs and angel investing (including the accredited investor framework)



and advise the business on their impact.

Oversee KYC/AML and FEMA considerations for resident and non-resident investors in the funds.

Investment Transactions

Draft, review, and negotiate term sheets, Shareholders' Agreements (SHAs), Share Subscription Agreements (SSAs), and related transaction documents for startup investments.

Negotiate key investor protections, including board and observer rights, information rights, anti-dilution, liquidation preference, pre-emptive rights, ROFR/ROFO, tag-along, drag-along, and exit provisions.

Work with instruments common in venture deals, such as equity, CCPS, CCDs, and convertible notes.

Coordinate legal due diligence, review diligence reports, and manage conditions precedent and closing deliverables.

Advise on Companies Act, 2013 and FEMA/NDI Rules requirements relevant to investments, including private placement, pricing, and reporting obligations.

Support follow-on rounds, secondary transactions, and exits for portfolio companies.

Business & Stakeholder Support

Act as the go-to legal advisor for investment, fund operations, and investor relations teams.

Draft and review commercial contracts, platform terms, vendor agreements, and NDAs.

Support data protection and platform compliance, including under the Digital Personal Data Protection Act,



2023.

Manage and coordinate external counsel efficiently and cost-effectively.

Build templates, playbooks, and processes that help the legal function scale with deal volume.

What We're Looking For

Must-Have

LLB from a recognised university; enrolled with a State Bar Council.

4–5 years of PQE at a reputed law firm and/or in-house with a VC fund, PE fund, AIF manager, or investment platform.

Hands-on experience with Category I and Category II AIFs, including fund documentation and SEBI compliance.

Solid track record of drafting and negotiating term sheets and SHAs in venture capital or private equity transactions.

Solid working knowledge of the SEBI AIF Regulations, Companies Act, 2013, FEMA and NDI Rules, and the Indian Contract Act.

Excellent drafting skills and attention to detail.

Ability to manage multiple live deals and deadlines in a fast-paced environment.

Clear, confident communicator who can explain legal risk in commercial terms to non-lawyers.

Good to Have

Experience with GIFT City (IFSC) fund structures.

Exposure to secondary transactions or fund-level exits.

Company Secretary (CS) qualification.

Familiarity with the startup and angel investing ecosystem in India.
