Job Description:

- AIF Setup & Regulatory Licensing

- Coordinate with legal counsels, trustees, tax advisors, and SEBI to execute end-to-end setup of a Category II AIF.

- Draft and review core offering documents including Private Placement Memorandum (PPM), Investment Management

- Agreement (IMA), Contribution Agreements, and Trust Deeds.

- Manage ongoing SEBI compliance, quarterly statutory filings, regulatory audit queries, and operational governance.

- Fund-Raising, Financial Modeling & LP Relations

- Develop robust fund financial models, return waterfall projections (IRR, DPI, TVPI), and capital deployment schedules.

- Prepare high-quality pitch decks, investment teasers, and DD materials for prospective LPs, Family Offices, and HNIs.

- Coordinate LP due diligence inquiries, manage virtual data rooms, issue capital calls, and prepare quarterly LP updates.

Underwriting & Deployment

- Evaluate and underwrite internal and external real estate & hospitality projects targeted for fund investment.

- Structure transaction instruments (NCDs, OCDs, Mezzanine, Equity) to optimize tax, risk-adjusted yield, and liquidity.

- Monitor project construction timelines, cash flow realizations, escrow compliance, and interest/principal servicing.

- Fund Operations, Accounting & Governance

- Oversee fund accounting, NAV calculations, statutory audits, tax pass-through distributions, and GST filings.

- Manage operational touchpoints with external ecosystem partners including Fund Custodians, Trustees, RTA, and

- Auditors.
