We are looking for a driven and detail-oriented Legal Associate with 2+ years of experience in Mergers & Acquisitions (M&A;), Corporate Law, and Contract Law. The role will involve supporting a broad range of corporate transactions, commercial matters, contract drafting and review, legal due diligence, and corporate advisory activities.

The ideal candidate will have robust legal research and drafting skills, sound commercial awareness, and the ability to work effectively on complex and time-sensitive matters. You will collaborate with internal stakeholders, external counsel, and transaction teams to provide practical legal support while ensuring that business activities remain appropriately structured and compliant.

Requirements

Key Responsibilities
- Support Mergers & Acquisitions (M&A;) transactions from initial evaluation through due diligence, documentation, negotiation, and closing.




- Conduct legal due diligence and identify material legal, regulatory, contractual, and corporate risks.
- Assist with preparation, review, and negotiation of transaction documents, including term sheets, NDAs, LOIs, SPAs, SHAs, and ancillary agreements.
- Conduct legal research and provide analysis on corporate, commercial, and transactional matters.
- Draft, review, negotiate, and manage a broad range of commercial and corporate contracts.
- Review agreements to identify legal, commercial, liability, compliance, confidentiality, IP, indemnity, termination, and other contractual risks.
- Support corporate restructuring, investments, joint ventures, strategic partnerships, and other corporate transactions.
- Prepare legal opinions, transaction summaries, due diligence reports, and internal legal memoranda.
- Coordinate with external counsel, consultants, advisors, and internal business teams
