About the Role
We are looking for an experienced Investment Banking professional to join our Sell-Side Investment Banking team, focused on helping companies raise capital and prepare for their next stage of growth.
The role will primarily involve working with IPO-bound, pre-IPO and high-growth companies on fundraising, capital structuring, investor positioning and transaction execution.
The ideal candidate should have strong experience in investment banking, equity fundraising, IPO/pre-IPO transactions, corporate finance, valuation and client acquisition, along with the ability to independently manage relationships with promoters, founders, investors and other transaction stakeholders.
Key Responsibilities
1. Origination & Client Acquisition
- Identify and develop relationships with companies that are potential pre-IPO or IPO candidates.
- Source current mandates through promoter/founder relationships, professional networks, intermediaries and industry relationships.
- Develop a strong pipeline of potential fundraising and IPO mandates.
- Understand the company’s business, capital requirements, growth plans and fundraising objectives.
- Pitch and present investment banking solutions to promoters, founders and senior management.
2. Fundraising & Transaction Execution
- Lead and support equity fundraising transactions, including pre-IPO/private placements and other structured equity transactions.
- Work with companies to determine appropriate fundraising size, valuation, transaction structure and investor positioning.
- Coordinate the complete transaction process from mandate acquisition through successful closure.
- Prepare transaction timelines, investor lists, deal structures and execution plans.
- Coordinate with legal, secretarial, accounting, merchant banking, due-diligence and other professional advisors.
3. IPO & Pre-IPO Advisory
- Evaluate companies for IPO readiness and identify gaps that need to be addressed before listing.
- Assist companies in developing an appropriate roadmap from private/pre-IPO stage to IPO.
- Work closely with management on business positioning, equity story and investor communication.
- Support preparation of investor presentations, information memoranda, financial analysis and other transaction-related materials.
- Assist in valuation analysis and benchmarking against listed and comparable companies.
4. Investor & Institutional Relationships
- Develop and maintain relationships with HNI, family office, institutional and strategic investors.
- Build and maintain an investor database across sectors.
- Match suitable companies and transactions with relevant investors.
- Coordinate investor meetings, management presentations, conference calls and due-diligence discussions.
- Understand investor requirements and communicate transaction opportunities effectively.
5. Financial Analysis & Valuation
- Build and review financial models, projections and valuation analyses.
- Conduct comparable-company, precedent-transaction and other relevant valuation analyses.
- Analyse financial statements, business performance, growth prospects and key operating metrics.
- Assist management in understanding valuation expectations and capital-market positioning.
6. Deal Management
- Take ownership of assigned mandates and ensure timely execution.
- Manage multiple transactions simultaneously and maintain transaction trackers.
- Coordinate with internal teams and external advisors throughout the transaction lifecycle.
- Identify transaction risks, bottlenecks and execution issues and proactively resolve them.
- Maintain high standards of confidentiality and transaction discipline.
Business Development Expectations
For the Manager/AVP level, this is not intended to be a purely execution-oriented role.
The candidate will be expected to:
- Build a meaningful company/promoter pipeline.
- Develop independent relationships with founders, promoters and senior management.
- Generate new investment-banking mandates.
- Convert opportunities into signed mandates and successfully executed transactions.
- Build long-term relationships with companies beyond a single fundraising transaction.
Experience specifically involving IPO, pre-IPO or equity fundraising transactions will be an advantage.
What Success Looks Like
The successful candidate will be expected to build and manage a strong pipeline of IPO-bound and pre-IPO companies, originate high-quality mandates, execute fundraising transactions efficiently and develop long-term relationships with promoters and investors.

Key Skills & Competencies
- Strong understanding of investment banking and sell-side transactions.
