Role Overview
We are looking for a qualified Company Secretary with around 2–4 years of relevant experience who can independently manage the company's secretarial, legal, contractual, and regulatory compliance requirements.
This will be a hands-on role working closely with the Finance team, management, external consultants, and different business functions. The person should be comfortable handling statutory compliances as well as day-to-day legal documentation, agreement drafting, contract review, and compliance tracking.
The role requires someone who can take ownership of matters from drafting and documentation through execution, filing, follow-up, and closure.
Key ResponsibilitiesCompany Secretarial & Companies Act Compliance
- Manage day-to-day secretarial compliances under the Companies Act, 2013 and applicable rules.
- Prepare notices, agendas, resolutions, minutes, attendance records, and other documentation for Board Meetings and General Meetings.
- Maintain statutory registers, records, minutes books, and other mandatory corporate documents.
- Prepare and file applicable forms and returns with the Registrar of Companies and Ministry of Corporate Affairs within prescribed timelines.
- Track annual and event-based statutory compliance requirements and ensure timely completion.
- Support changes relating to directors, authorised signatories, registered office, share capital, shareholding, and other corporate matters.
- Coordinate with practising Company Secretaries, Chartered Accountants, legal advisors, auditors, and other consultants wherever required.
- Maintain proper records of all statutory filings, challans, acknowledgements, approvals, and supporting documents.
Legal Agreements & Contract Management
- Draft, review, revise, and maintain various commercial and legal agreements.
- Draft and review customer agreements for interior design and turnkey execution projects.
- Review commercial terms, payment clauses, scope of work, timelines, termination provisions, indemnities, liabilities, warranties, dispute resolution, confidentiality, and other contractual protections.
- Draft and review vendor agreements, service agreements, consultant agreements, channel partner agreements, Non-Disclosure Agreements, Memorandums of Understanding, addendums, amendments, declarations, undertakings, and other business documents.
- Coordinate with internal teams before execution to ensure that commercial terms agreed with customers, vendors, and partners are properly reflected in contracts.
- Maintain a central agreement repository with executed copies, supporting documents, validity periods, renewal dates, and amendment history.
- Track agreement expiry, renewal, notice periods, obligations, and other critical contractual dates.
Customer & Business Documentation
- Prepare and standardise customer agreement formats and supporting legal documentation.
- Review deviations requested by customers and highlight legal or commercial risks to management before acceptance.
- Ensure signed agreements and supporting documents are properly maintained and easily retrievable.
- Work with Sales, Finance, Design, Execution, Purchase, and other teams on documentation requirements.
- Support documentation relating to customer disputes, payment issues, contractual deviations, project delays, and other commercial matters.
Legal & Regulatory Compliance
- Maintain a comprehensive compliance calendar covering applicable corporate and business compliances.
- Monitor changes in applicable laws and regulations and communicate relevant requirements internally.
- Coordinate for licences, registrations, renewals, certificates, declarations, and statutory documentation applicable to the business.
- Assist in documentation and responses relating to legal notices, regulatory notices, disputes, claims, and other legal matters.
- Coordinate with external advocates and consultants for ongoing legal matters and maintain proper case-wise documentation and status trackers.
- Support management in ensuring that company policies, agreements, and business practices remain legally compliant.
Corporate Governance & Documentation
- Maintain proper corporate records and ensure documents are organised and audit-ready.
- Support management with Board and shareholder-related documentation.
- Prepare resolutions, authority letters, Power of Attorney documents, declarations, undertakings, and other corporate documentation as required.
- Assist with due diligence, audits, corporate restructuring, banking documentation, and other special assignments.
- Ensure proper documentation and compliance for changes in the company's corporate structure or business operations.
Compliance Tracking & MIS
- Maintain a master compliance tracker covering due dates, owners, status, supporting documents, and completion dates.
- Maintain an agreement tracker covering customers, vendors, partners, consultants, landlords, and other stakeholders.
- Provide periodic compliance and legal status updates to management.
- Highlight upcoming deadlines, pending documentation, contractual risks, and compliance gaps before they become overdue.
- Ensure that every compliance and legal matter is properly documented from initiation through closure.
Candidate Requirements
- Qualified Company Secretary and member of ICSI.
- Approximately 2–4 years of post-qualification or relevant professional experience.
- Good practical knowledge of the Companies Act, 2013, MCA filings, Board processes, statutory registers, and corporate governance requirements.
- Strong experience in drafting and reviewing commercial agreements and legal documents.
- Ability to understand commercial transactions and translate business requirements into appropriate contractual terms.
- Good drafting skills with robust attention to detail.
- Comfortable coordinating with senior management, internal departments, auditors, consultants, advocates, customers, and vendors.
- Strong ownership mindset with the ability to independently track matters until closure.
- Good working knowledge of Microsoft Word, Excel, document management, and compliance trackers.
Preferred Experience
Candidates with exposure to any of the following would be preferred:
- Interior design, construction, real estate, project-based, or service businesses.
- Customer contracts and project execution agreements.
- Vendor and subcontractor agreements.
- Commercial disputes and legal notices.
- Corporate restructuring or conversion-related compliances.
- Multi-location business operations.
- Working closely with Finance and business teams rather than handling only routine secretarial filings.

We are looking for someone who goes beyond simply filing forms and maintaining statutory records.
- The ideal candidate should be capable of independently understanding a business transaction, identifying the documentation and compliance requirements, drafting or reviewing the necessary agreement, coordinating with relevant stakeholders, tracking statutory and contractual timelines, and ensuring the matter is properly closed and documented.
