We are looking for a Manager – Financial Due Diligence & Transaction Advisory who can independently lead multiple financial due diligence assignments and work closely with clients, investors, promoters and transaction teams.
Role Overview The Manager will be responsible for managing and executing financial due diligence assignments across various sectors in India. The role involves understanding businesses, analysing historical financial performance, identifying financial and commercial risks, preparing quality due diligence reports and supporting clients through the transaction lifecycle.
The ideal candidate should have hands-on experience in multiple completed financial due diligence assignments and a strong understanding of accounting, financial analysis, cash flows, working capital and transaction-related adjustments.
Key Responsibilities
1. Financial Due Diligence
- Lead and independently execute multiple financial due diligence assignments for acquisitions, investments, fund raises, strategic transactions and other corporate finance requirements.
- Analyse historical financial statements, management accounts, MIS and financial records.
- Review revenue, EBITDA, profitability and cash flow trends.
- Perform quality of earnings analysis and identify normalization adjustments.
- Analyse working capital requirements, net debt, debt-like items and contingent liabilities.
- Review customer concentration, revenue recognition, margins and cost structures.
- Identify key financial risks, red flags and transaction-specific issues.
- Assess the sustainability of earnings and cash flows.
- Prepare detailed financial due diligence reports and executive summaries.
2. Transaction Advisory
- Support buy-side and sell-side transactions from financial analysis through transaction closure.
- Assist in developing transaction models,
financial projections and scenario analysis.
- Support valuation analysis and assessment of transaction adjustments.
- Work with clients and investors on financial information requests and data room reviews.
- Participate in management discussions and diligence meetings.
- Support deal teams in evaluating transaction structures, consideration mechanisms and financial implications.
- Coordinate with legal, tax, commercial and other advisors as required.
3. Client Management
- Act as the primary point of contact for assigned financial due diligence engagements.
- Manage client communication, information requirements and assignment timelines.
- Conduct discussions with CFOs, finance teams, promoters and management.
- Present findings and key financial observations to clients and senior stakeholders.
- Ensure timely delivery of high-quality reports and presentations.
4. Team Management & Quality Control
- Manage and mentor analysts and associates working on assignments.
- Allocate work, review deliverables and ensure accuracy of financial analysis.
- Plan assignment timelines and manage multiple engagements simultaneously.
- Review working papers, financial schedules and supporting documentation.
- Ensure adherence to skilled standards and internal quality control processes.
5. Business Development Support
- Assist Partners and Directors in preparing proposals, pitch decks and scope of work documents.
- Participate in client meetings and business development discussions.
- Identify opportunities for additional advisory services.
- Develop sector knowledge and contribute to building the firm's transaction advisory practice.
Required Qualifications & Experience
- CA / Chartered Accountant preferred.
- 6–7 years of relevant post-qualification experience in Financial Due Diligence, Transaction Advisory, M&A; Advisory, Deal Advisory or Investment Banking.
- Candidates from Big 4 transaction advisory teams, reputed boutique transaction advisory firms or investment banking firms are preferred.
- Demonstrated experience in executing multiple financial due diligence assignments in India.
- Experience in working with SMEs, mid-market companies, private equity funds, venture capital investors or strategic acquirers is desirable.
- Strong knowledge of Indian Accounting Standards / Ind AS and accounting principles.
- Strong analytical, financial modelling and report-writing skills.
- Excellent communication and client management abilities.
Desired Technical Skills
- Advanced Excel and financial modelling.
- Financial statement analysis.
- Quality of Earnings analysis.
- Net debt and working capital analysis.
- EBITDA normalization.
- Financial projections and scenario analysis.
- PowerPoint and preparation of investor / transaction presentations.
- Familiarity with virtual data rooms and transaction documentation.
Preferred Candidate Profile The ideal candidate should:
- Have independently handled or managed multiple completed FDD assignments.
- Be comfortable working directly with promoters, CFOs, investors and senior management.
- Be able to identify issues beyond the numbers and understand their transaction implications.
- Have experience across multiple sectors such as manufacturing, services, technology, healthcare, education, insurance, consumer and other businesses.
- Demonstrate strong ownership, attention to detail and ability to work under transaction timelines.
- Be willing to work in a fast-growing boutique advisory environment with significant client exposure.
