About the Role

We are seeking an experienced and business-oriented Legal Counsel to provide comprehensive legal support across commercial contracting, regulatory compliance, strategic partnerships, technology initiatives, and business operations. The role requires close collaboration with cross-functional teams to identify legal risks, enable business growth, and ensure compliance with applicable laws, regulations, and internal policies.

Key Responsibilities

Commercial Contracting & Negotiations

- Draft, review, negotiate, and finalize a wide range of commercial agreements, including:
- Vendor and procurement agreements
- Technology and SaaS agreements
- Partnership and alliance agreements
- Healthcare service provider agreements
- Marketing and distribution agreements
- NDAs, MoUs, and other business contracts
- Provide legal and commercial advice during contract negotiations and deal structuring.
- Develop and maintain contract templates, playbooks, and standard legal positions.

Business Advisory

- Partner with business, operations, product, procurement, compliance, risk, and technology teams to provide practical legal guidance.
- Advise stakeholders on legal implications of new products, services, distribution models, and strategic initiatives.
- Support management in evaluating legal and commercial risks associated with business decisions.

Regulatory & Compliance Support

- Monitor and advise on applicable laws, regulations, and industry standards impacting the organization.
- Provide guidance on healthcare, insurance, fintech, digital platforms, consumer protection, data privacy, and related regulatory matters.
- Assist in implementation of regulatory requirements and internal governance frameworks.

Risk Management

- Identify, assess, and mitigate legal and contractual risks.
- Provide recommendations to balance legal protection with business objectives.
- Support development and implementation of legal risk management processes.

Dispute Management





- Review and respond to legal notices, claims, and disputes.
- Coordinate with external counsel and relevant stakeholders on litigation and pre-litigation matters.
- Support dispute resolution initiatives and settlement negotiations where appropriate.

Corporate & Governance Support

- Assist with corporate governance matters, internal approvals, and policy implementation.
- Support regulatory audits, due diligence exercises, and compliance reviews.
- Prepare legal opinions, advisory notes, training materials, and management presentations.

Stakeholder Management

- Act as a trusted legal advisor for internal business teams and leadership.
- Collaborate effectively with external partners, service providers, consultants, and legal advisors.
- Drive legal awareness and promote best practices across the organization.

Qualifications & Experience

- LLB/BA LLB from a recognized university; CS qualification will be an added advantage.

3 5 years of post-qualification experience in an in-house legal department and/or reputed law firm.
- Experience in BFSI, healthcare, digital platforms, fintech, insurance, technology, or related sectors preferred.
- Strong contract drafting and negotiation skills.
- Sound understanding of commercial, corporate, regulatory, and compliance matters.
- Ability to manage multiple priorities and work independently in a quick-paced environment.
