Job Summary

We are seeking a detail-oriented Legal Counsel in HR Department as HR Compliance Executive/Officer to manage the end-to-end lifecycle of our corporate contracts and legal agreements. In this role, Candidate will be responsible for drafting, reviewing, negotiating, and vetting a wide variety of commercial agreements. The ideal candidate will possess a sharp eye for identifying legal risks, exceptional drafting skills, and the ability to safeguard the companys business interests while facilitating smooth commercial operations.

Key Responsibilities

- Drafting &
- Preparation:

Author clear, concise, and legally binding commercial agreements, including but not limited to Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Vendor Contracts, Employment Agreements, Partnership Agreements, and Lease Agreements.

- Contract Review &

- Vetting:

Thoroughly review and analyze incoming contracts from third parties to identify unfavorable clauses, ambiguities, and potential legal or financial risks.

- Redlining &

- Negotiation:

Edit and redline agreements during negotiations, proposing alternative language that minimizes risk while maintaining strong business relationships.

- Compliance &

- Policy:

Ensure all templates and executed agreements comply with current local, state,



and federal laws, as well as internal corporate governance policies.

- Legal Advisory: Advise on contract terms, potential liabilities, and contractual obligations.

- Repository Management: Maintain and organize the company's digital contract management system, tracking renewal dates, terminations, and compliance milestones.

Qualifications &

- Skills

- Education: Bachelor of Laws (LL.B.) or Master of Laws (LL.M.) degree from an accredited law school.

- Experience: 3–5 years of proven experience explicitly focused on contract drafting and commercial law, either within a corporate legal department or a reputable law firm.

- Technical Skills:

- Exceptional legal writing and drafting skills with a strict attention to formatting and precision.

- Strong mastery of contract law principles and commercial terminology.

- High proficiency with contract management software (CMS) and advanced Microsoft Word features (Track Changes, Redlining).

- Soft Skills:

- Excellent communication skills.

- Analytical thinker with robust problem-solving capabilities under tight deadlines.

- Ability to translate complex legal jargon into actionable business advice.
