Job Description:
Provide legal guidance on domestic and international Commodity and trading
transactions.
Draft, review, negotiate, and finalize sale/purchase agreements, trading contracts,
supply agreements, NDAs, MoUs, agency agreements, and other trade-related
documents.
Ensure trading transactions comply with applicable trade laws, import-export
regulations, customs regulations, foreign exchange regulations, and other Statutory &
regulatory requirements.
Review Incoterms, payment terms, Letters of Credit, bank guarantees, warranties,
indemnities, liabilities, and risk allocation in trading contracts.
Conduct legal due diligence on international buyers, sellers, suppliers, agents, and
trading partners.
Advise on cross-border transaction risks, sanctions, restricted-party considerations,
jurisdictional issues, and regulatory exposure.




Monitor changes in international trade laws, regulations, notifications, and compliance
requirements affecting the business.
Identify contractual and legal risks in trading transactions and recommend appropriate
mitigation measures.
Handle legal notices, contractual disputes, claims, and trade-related disputes in
coordination with external legal counsel.
Coordinate with Trading, Finance, Logistics, Compliance, Banks, Customs Brokers, and
external legal advisors for smooth execution of transactions.
Maintain proper records of trading contracts, legal opinions, regulatory documents,
claims, and compliance matters.
