nRole Overview
nThe Company Secretary will support the VC team and portfolio startups on private placements, corporate actions, and transaction-related compliance. The role focuses on providing investment execution support, conducting basic legal due diligence, and ensuring post-investment corporate compliance for early-stage companies.
nKey Responsibilities:

Check private placement of shares / CCPS / CCDs for portfolio companiesn
Ensure compliance with Sections 42 & 62 of the Companies Act, 2013n
Check and approve PAS-4, PAS-5, PAS-3 filingsn
Coordinate issuance of share certificates and updating statutory registersn
Conduct basic legal DD for early-stage startups, including capitalisation tables and shareholding history,



review of MOA/AOA, shareholder agreements, and prepare DD summary notes for the investment teamn
Review and assist with SHA, SSA, term sheets, ESOP documents, and ancillary agreementsn
Coordinate with external legal counsel on transaction documentationn
Support closing mechanics and post-closing filingsn
Assist in follow-on rounds, secondary transactions, and exitsn
Ensure compliance under the Companies Act, FEMA (FDI), where applicablen
Maintain investment documentation repositoryn
Support internal audits, reporting, and governance checksn

nSkills Required

Solid working knowledge of Companies Act, 2013 (private placement focus)n
Familiarity with startup fundraises (Pre-Seed to Series A)n
Understanding of equity instruments (Equity, CCPS, CCDs)n
Ability to read and flag issues in legal agreementsn
Structured, detail-oriented, and execution-focusedn
