Position Summary

We are seeking an experienced and business-oriented Senior Legal Counsel to lead and manage the organisation's legal affairs, ensuring compliance with applicable laws and regulations while supporting business growth and strategic initiatives. The ideal candidate will possess strong expertise in corporate law, contract management, litigation, regulatory compliance, and risk mitigation, with the ability to provide practical legal advice to senior management.

Key Responsibilities

Legal Advisory

- Provide strategic legal guidance to senior leadership on corporate, commercial, regulatory, and operational matters.

- Advise management on business transactions, risk assessment, governance, and legal implications of strategic decisions.

- Interpret and communicate legal requirements affecting business operations.

Contract Management
- Draft, review, negotiate, and manage a wide range of agreements, including:

- Commercial contracts

- Vendor and service agreements

- Lease agreements

- Confidentiality agreements

- Joint venture and partnership agreements

- Employment-related agreements

- Ensure contractual obligations and legal risks are appropriately addressed.

Litigation & Dispute Resolution
- Manage litigation, arbitration, and dispute resolution matters.

- Coordinate with external legal counsel and monitor case progress.





- Develop strategies to minimise legal exposure and costs.

Compliance & Regulatory Affairs
- Ensure compliance with applicable laws, regulations, and statutory requirements.

- Monitor legal and regulatory developments and assess their impact on the organisation.

- Establish and strengthen compliance frameworks, policies, and governance practices.

Corporate Governance
- Support corporate governance initiatives and board-related matters.

- Ensure proper maintenance of legal records and statutory documentation.

- Advise on corporate restructuring, acquisitions, partnerships, and other strategic initiatives.

Risk Management
- Identify, evaluate, and mitigate legal and regulatory risks.

- Develop preventive legal strategies and internal controls.

- Conduct legal risk assessments for new projects and business ventures.

Stakeholder Management
- Collaborate with cross-functional teams, including Finance, HR, Operations, Procurement, and Business Development.

- Represent the organisation before regulatory authorities and government bodies when required.

Qualification & Experience

Education

- Bachelor's Degree in Law (LLB) from a recognised university.

- Master's Degree in Law (LLM) will be an added advantage.





- Enrolment with the Bar Council of India.

Experience
- 15-20 years of post-qualification experience in corporate legal affairs.

- Experience in handling commercial contracts, litigation, compliance, and corporate governance matters.

- Exposure to infrastructure, real estate, banking, financial services, manufacturing, or similar sectors will be preferred.
