Job Description Secretarial & Corporate Compliance
Role Purpose
The role is responsible for ensuring compliance with applicable corporate laws, SEBI regulations, Secretarial Standards, and corporate governance requirements. The position will support the effective functioning of the Board, Board Committees, shareholders, and subsidiary entities while ensuring timely and accurate regulatory filings, disclosures, and secretarial activities.
Key Responsibilities
Manage end-to-end activities related to Board, Committee, and Shareholder Meetings, including preparation of notices, agendas, supporting documents, resolutions, and minutes.
Ensure compliance with the Companies Act, SEBI Regulations, Secretarial Standards, and other applicable corporate and regulatory laws.
Manage dividend-related activities, including dividend declaration, payment, unpaid dividend matters, and Investor Education and Protection Fund (IEPF) compliances.
Oversee and ensure timely completion of secretarial and regulatory compliance requirements for subsidiary companies.
Coordinate and ensure timely filing of statutory returns, forms, disclosures, and other regulatory submissions with ROC, MCA, SEBI, and other regulatory authorities.
Maintain and update statutory registers, records, minutes books, corporate documents, and other secretarial records in accordance with applicable requirements.
Support the implementation, monitoring, and continuous improvement of corporate governance frameworks, policies, and best practices.
Draft and review corporate policies, Board reports, resolutions, notices, regulatory submissions, agreements, and other secretarial documents.
Coordinate with auditors, regulators, depositories, legal advisors, consultants, and other external stakeholders on secretarial and compliance matters.
Support and coordinate internal and external audits relating to secretarial, corporate governance, and regulatory compliance functions.
Monitor changes in corporate laws, SEBI regulations, regulatory circulars, and governance requirements, and advise management on their applicability and implications.
Liaise with internal departments to obtain required information and ensure timely completion of statutory, regulatory, and governance-related obligations.
Maintain a robust compliance tracking mechanism and ensure timely closure of identified compliance gaps and action items.
Skills & Competencies
Strong knowledge of the Companies Act, SEBI Regulations, Corporate Laws, Secretarial Standards, and Corporate Governance practices.
Proven experience in managing Board Meetings, Committee Meetings, General Meetings, agendas, notices, minutes, and resolutions.
Solid understanding of ROC/MCA filings, statutory registers, regulatory disclosures, and corporate compliance requirements.
Hands-on experience in dividend-related activities, unpaid dividend matters, and IEPF compliances.
Knowledge of subsidiary company compliance and secretarial functions.
Strong drafting, analytical, interpretation, coordination, and communication skills.
Ability to interpret regulatory requirements and translate them into practical compliance actions.
Strong attention to detail with a high degree of ownership, accountability, accuracy, and confidentiality.
Effective stakeholder management skills with the ability to coordinate with senior management, internal teams, regulators, auditors, legal advisors, and external stakeholders.
Ability to manage multiple compliance activities and statutory deadlines in a structured and timely manner.
Preference will be given to candidates with experience in a Market Infrastructure Institution (MII).
