Key Responsibilities :

A. Commercial Contracts & Legal Advisory

- Draft, review, negotiate, and finalize commercial agreements including:
- Master Service Agreements (MSA)
- Statements of Work (SOW)
- End User License Agreements (EULA)
- Franchise Agreements
- Vendor Agreements
- Supplier Agreements
- Service Level Agreements (SLA)
- Data Processing Agreements (DPA)
- Non-Disclosure Agreements (NDA)
- Lease and Leave & License Agreements
- Marketing Agreements
- Memorandum of Understanding (MOU)

- Provide practical legal advice balancing business requirements and legal risk.
- Identify contractual, legal, operational, and commercial risks.
- Support contract lifecycle management, amendments, renewals, and terminations.
- Maintain contract governance and compliance standards.

B. Data Privacy & Data Protection

- Advise business functions on data privacy obligations.
- Draft and negotiate DPAs and privacy-related clauses.
- Support privacy compliance initiatives.
- Work with HR, IT, Procurement, Operations, and Business Teams.
- Assist in implementing privacy policies and controls.
- Monitor data protection risks in commercial engagements.

C. Intellectual Property Management

- Advise on:
- Copyrights
- Trademarks
- Licensing
- Technology Agreements
- Software Usage Rights
- Branding Rights





- Draft and review IP-related clauses in contracts.
- Protect and manage the company's intellectual property assets.

D. Business Partnering

- Partner with Business, Sales, Marketing, HR, Procurement, and Operations.
- Deliver commercially pragmatic legal guidance.
- Conduct awareness and training sessions.
- Support strategic initiatives requiring legal intervention.

- 08 -12 years relevant non-litigation legal experience.
- Robust exposure to commercial contracting.

- Litigation exposure may be considered as an additional advantage but primary experience should be non-litigation.
