Senior Corporate Lawyer – MSME Legal Services
Experience: 8–12 years
Qualification: LL.B. / LL.M
Employment Type: Full-time
About the Role
We are looking for a Senior Corporate Lawyer with approximately 10 years of experience, preferably with robust exposure to MSMEs and entrepreneurial businesses , to lead and deliver corporate-commercial legal services.
The ideal candidate should have strong hands-on experience in contract drafting and negotiation, intellectual property, corporate-commercial advisory, dispute management/litigation coordination , and the ability to manage a legal team.
This role requires someone who can combine legal expertise with commercial understanding and operational discipline —someone who can understand a business problem, identify the legal risk, recommend a practical solution, and ensure timely execution.
Key Responsibilities
1. Corporate & Commercial Advisory
- Advise MSMEs, founders, promoters and management on day-to-day legal and commercial matters.
- Identify legal risks and provide commercially practical solutions.
- Advise on business structures, commercial arrangements, vendor/client relationships and general corporate matters.
- Support clients through different stages of their business lifecycle.
1. Contract Management
- Draft, review, negotiate and advise on commercial agreements.
- Handle agreements including NDAs, MSAs, service agreements, vendor agreements, employment agreements, consultancy agreements, partnership/JV agreements, licensing agreements and other business contracts.
- Identify contractual risks, liabilities, indemnities, termination provisions, IP ownership, payment terms and dispute resolution mechanisms.
- Develop and maintain contract templates, playbooks and standard clauses.

Intellectual Property
- Advise clients on trademarks, copyrights, licensing, IP ownership and protection.
- Coordinate IP registrations and enforcement matters.
- Identify IP risks in contracts and business operations.
- Work with external IP specialists/counsel where required.
1. Dispute & Litigation Management
- Assess legal disputes and recommend appropriate courses of action.
- Manage and coordinate litigation matters with external advocates/counsel.
- Review notices, pleadings, replies and legal correspondence.
- Track litigation matters, timelines, exposure and outcomes.
- Develop preventive strategies to reduce recurring disputes.
1. Client Management
- Act as a trusted legal advisor to assigned MSME clients.
- Conduct legal consultations and business legal health assessments.
- Understand the client's business, not merely the legal issue presented.
- Identify additional legal requirements and proactively recommend solutions.
- Maintain strong client relationships and ensure high-quality service delivery.
1. Team Leadership
- Lead, mentor and review the work of junior lawyers and legal executives.
- Allocate matters and monitor turnaround times.
- Review drafts and ensure quality control.
- Develop SOPs, templates, checklists and knowledge resources.
- Train the team on contracts, advisory, client handling and legal processes.
1. Business & Commercial Contribution
- Understand the commercial objectives of clients and the organisation.
- Support conversion of legal requirements into appropriate service offerings.
- Identify opportunities for recurring legal relationships and annual legal partnerships.
- Work with sales/operations teams to ensure seamless transition from client acquisition to legal delivery.
8. Legal Quality Assurance & Quality Control Ensure consistently high-quality, legally sound and commercially appropriate legal deliverables across the team.
- Review and quality-check contracts, legal opinions, notices, advisory notes and other legal deliverables prepared by the team.
- Establish a multi-level quality review process based on complexity and risk of the matter.
- Ensure all deliverables are legally accurate, commercially practical, complete and aligned with the client's requirements.
- Identify errors, omissions, inconsistent advice and potential legal/commercial risks before delivery to the client.
- Conduct periodic audits of completed matters to identify recurring quality issues.
- Maintain quality checklists, review templates and standard operating procedures.
- Track rework, errors, client escalations and turnaround-time deviations.
- Conduct root-cause analysis for recurring legal errors and implement corrective actions.
- Provide structured feedback and coaching to lawyers based on quality reviews.
- Ensure appropriate escalation of high-risk, novel or complex matters to senior management.
- Maintain a repository of precedents, approved clauses, templates and best practices.
- Ensure compliance with internal legal processes, documentation standards and client communication protocols.
