Role Purpose The Legal Associate will support the Legal team in handling real estate transactions, property documentation, agreements, regulatory matters, due diligence, and legal compliances. The role will involve reviewing and drafting legal documents, conducting property-related legal research, coordinating with internal stakeholders and external legal counsel, and ensuring that business transactions are legally compliant and adequately protected.
Key Responsibilities
1. Legal Documentation &
- Agreements
- Draft, review, and negotiate various real estate-related agreements and legal documents.
- Assist in preparing and reviewing Sale Agreements, Sale Deeds, Joint Development Agreements (JDAs), Development Agreements, Lease Agreements, Leave &
- License Agreements, MOUs, NDAs, POAs, vendor agreements, and service contracts
.
- Review agreements to identify legal risks, commercial implications, obligations, and liabilities.
- Ensure proper execution, stamping, registration, and maintenance of legal documents.
- Maintain a structured repository of executed and ongoing agreements.
1. Property Due Diligence
- Assist in conducting legal due diligence for land and property acquisitions.
- Examine title documents, revenue records, encumbrance certificates, conversion orders, approvals, development rights, and other property-related records.
- Coordinate with external advocates and consultants for title verification and legal opinions.
- Identify title-related risks, discrepancies, encumbrances, and documentation gaps.
- Prepare due diligence reports and track closure of identified legal issues.
1. Real Estate Transactions
- Provide legal support for acquisition, development, sale, lease, and other real estate transactions.
- Coordinate with Business Development, Projects, Sales, Finance, Procurement, and other teams on legal requirements.
- Ensure transactions are structured in accordance with applicable laws and company policies.
- Support documentation and legal requirements related to project launches and customer transactions.
1. Regulatory &
- Statutory Compliance
- Assist in monitoring compliance with applicable real estate laws and regulations, including RERA, Registration laws, Stamp laws, Land and Revenue laws, and applicable local regulations.
- Support the team in reviewing regulatory approvals, licenses, permissions, and statutory documents required for projects.
- Track changes in relevant laws, regulations, and judicial developments impacting the business.
- Assist in preparing compliance trackers and reports.
1. Litigation &
- Dispute Management
- Coordinate with external advocates and legal counsel on ongoing litigation and disputes.
- Maintain records of legal notices, court cases, claims, and proceedings.
- Assist in preparing case summaries, chronologies, briefs, and documentation for external counsel.
- Track important hearing dates, case status, and action items.
- Support the Legal Head/Legal Manager in evaluating potential legal risks and dispute-resolution strategies.
1. Legal Notices &
- Correspondence
- Draft and review legal notices, responses, letters, undertakings, declarations, and other legal correspondence.
- Coordinate with internal stakeholders to collect relevant facts and documents.
- Ensure timely responses to legal notices and regulatory communications.
- Maintain records of all legal correspondence.
1. Internal Legal Advisory
- Provide day-to-day legal support to various business functions.
- Review business proposals, commercial arrangements, vendor contracts, and operational documents from a legal perspective.
- Highlight potential legal, contractual, and compliance risks.
- Provide practical recommendations to mitigate identified risks.
1. Documentation &
- Record Management
- Maintain an organized database of agreements, property documents, legal opinions, litigation matters, and statutory records.
- Track renewal, expiry, registration, and compliance timelines.
- Ensure proper documentation and audit trails for all legal transactions.
- Assist in preparing MIS and periodic reports for management.
Key Skills &

- Robust understanding of real estate and property laws.
- Good drafting and contract-review skills.
- Knowledge of RERA, property laws, registration and stamp laws.
- Strong legal research and analytical skills.
- Ability to identify contractual and legal risks.

- Ability to work independently and manage multiple matters simultaneously.
- Good negotiation and problem-solving skills.
- Proficiency in MS Office and legal research databases.
Educational Qualification
- LL.B. / B.L. from a recognized university.
- Candidates with an LL.M. will be preferred.
- Candidates enrolled with the Bar Council will be an advantage, depending on the nature of the role.
Preferred Experience
- 14 years of relevant experience in a real estate company, law firm, infrastructure/construction organization, or corporate legal team.
- Prior exposure to property due diligence, real estate agreements, RERA matters, land documentation, and contract review will be preferred.
- Experience working with external legal counsel and government/regulatory authorities will be an added advantage.
