Key Responsibilities of a Corporate Secretary
1. Board Governance Organize Board of Directors and committee meetings.
Prepare meeting agendas and board materials.
Attend meetings and maintain official minutes.
Track board resolutions and follow-up actions.
2. Corporate Compliance Ensure compliance with applicable corporate laws and regulations.
Monitor governance requirements and regulatory changes.
Maintain legal and statutory records.

Corporate Records Management Custodian of:
o Articles of Incorporation o Bylaws o Board resolutions o Shareholder records o Corporate registers
Maintain official corporate documentation and archives.
4. Shareholder Relations Coordinate Annual General Meetings (AGMs).
Manage shareholder communications.
Support proxy processes, voting, and shareholder resolutions.
5. Governance Advisory Advise the Board and senior leadership on governance matters.
Recommend governance best practices.
Support director onboarding, training, and evaluation processes.
6. Risk and Ethics Oversight
Ensure governance processes support ethical conduct. Help monitor conflicts of interest disclosures.
Support compliance and risk management reporting.
1. Subsidiary Governance Maintain governance records for subsidiaries.
Coordinate director appointments and resolutions across legal entities.
Ensure local statutory compliance.
