Job Title: Asst. Manager legal and corporate governance
Location: Pune
Function: Legal and corporate governance
Purpose of Role:
To provide comprehensive legal support to the organisation across all business functions, with a particular focus on contract management, risk mitigation, dispute resolution, and regulatory compliance within the MEP/EPC sector in India.
Key Working Relationships
- Internal: Legal, Project Management, Procurement, Supply Chain Management (SCM), Finance, Human Resources, Administration, Management, Bidding, Sales, and Marketing teams.
- External: Clients, Advocates, consultants, and other external legal advisors.
Key Responsibilities
- Drafting, reviewing, negotiating, and finalize a wide range of agreements, including Service Agreements, EPC Agreement, Non-Disclosure Agreements (NDAs), Software Agreements, Teaming Agreements, Subcontract Agreements, and Lease Agreements etc.
- Advising on standard form contracts, including FIDIC-based contracts and other industry-standard frameworks commonly used in the MEP/EPC sector.
- Serving as legal advisor on business transactions, partnerships, acquisitions etc.
- Driving transaction risk review and mitigation with ability to remove road-blocks, provide quick resolutions and facilitate transparency across cross-functional teams to enable well advised decisions and approvals.
- Collaborating with the Sales and Bidding teams in bid finalization by reviewing RFPs/tender documents, assessing legal and contractual risks, and providing recommendations and mitigation strategies.
- Supporting Project Managers on various issues related to project correspondence with Clients like EOT, LD, Variation, penalties etc., dispute board and vendors.
- Providing day-to-day legal support across departments, including drafting and execution of letters, affidavits, declarations, authorizations, undertakings, and KYC documentation.
- Managing and coordinating arbitrations, writs, and other litigations, ensuring effective liaison with internal stakeholders and external counsel.
- Supporting the Legal & Contracts team in all matters pertaining to corporate legal compliance, dispute resolution, and risk management.
- Ensuring timely and accurate legal documentation, maintaining high standards of integrity and confidentiality in all business dealings.
- Manage and coordinate meetings of Board of directors, board committee and share holders.
- Prepare and circulate notices, agendas and supporting documents for Board and shareholder meetings.
- Prepare accurate minutes of Board, Committee and General Meetings and maintain statutory records
- Maintain the statutory registers and records prescribed under the Companies Act.
- Monitor compliance with the Company's Articles of Association and applicable shareholder agreements.
- Maintain records relating to Directors' disclosures, interests and related-party matters.
- Ensure timely compliance with the Companies Act, 2013, Rules and applicable MCA requirements.
- Prepare and file statutory forms and returns with the Ministry of Corporate Affairs (MCA)
- Maintain records of shareholders and shareholding structure
- Ensure proper documentation of changes in shareholding and ownership structure.
- Maintain appropriate records and disclosures relating to related-party transactions.
Essential Skills and Qualifications
- Minimum of 7 to 10 years of experience in MEP/EPC industry with proven expertise in Contract Management and Litigation.
- Company secretary and Bachelor’s degree in law (LL.B) from a recognized university; relevant industry experience is essential.
- Excellent drafting and negotiation skills.
- Solid verbal and written communication skills, with the ability to interpret and convey complex legal information clearly and precisely.
- Proficiency in MS Office applications; ability to manage, analyze, and present data effectively.
- Demonstrated competence in contract management and client communications.
- Proactive, organized, and detail-oriented, with strong interpersonal and stakeholder management skills.
- Commercially aware and committed to cost-conscious legal solutions.
