- Role Description To ensure the organization operates in full conformity with applicable legal, statutory, financial, and corporate law requirements across its electronics design, development, and manufacturing operations in the telematics domain. The role is responsible for building a robust compliance and governance framework that not only mitigates legal, financial, and reputational risk in the ordinary course of business, but also actively prepares the company for the enhanced governance, disclosure, and due diligence standards expected under SEBI regulations ahead of a planned Initial Public Offering (IPO) over the next 3 years.

Legal & Regulatory Compliance •Monitor and interpret laws and regulations applicable to electronics manufacturing, telecom/wireless products, and IoT/telematics devices, including amendments and their business impact.

•Liaise with external legal counsel on regulatory matters, customer/OEM contract disputes, IP disputes, and litigation.

•Draft, review, and vet manufacturing agreements, supply/vendor contracts, OEM/ODM agreements, NDAs, and technology licensing agreements.

•Maintain a master compliance calendar covering all applicable filings, renewals, certifications, and regulatory deadlines across manufacturing plant(s) and corporate office.

•Represent or coordinate representation before regulatory authorities such as MCA, WPC, BIS, pollution control boards, and customs/DGFT as required.

- Statutory Compliance

•Ensure timely filing of statutory returns under labour laws, tax laws, environmental regulations, and factory regulations (PF, ESI, GST, TDS, Factories Act, Shops & Establishment Act).

•Maintain statutory registers, records, and documentation as mandated by law across all manufacturing and office locations.

•Coordinate with HR, Finance, and Plant Operations to ensure statutory obligations are met at each entity/location.

Manage renewal of factory licenses, pollution control (CTE/CTO) consents, fire safety NOCs, and other operational permits/registrations essential for continued manufacturing operations.

•Conduct periodic statutory compliance audits across plant and corporate functions and proactively remediate gaps.

- Company / Corporate Law & IPO-Readiness Compliance





•Ensure compliance with the Companies Act, 2013, and evolving governance norms relevant to a company preparing for listing.

•Support the Company Secretary in board meetings, committee meetings, general meetings (AGM/EGM), and maintenance of statutory registers and minute books.

•Ensure timely filing of ROC/MCA forms, annual returns, and other regulatory filings.

•Drive the pre-IPO compliance and governance readiness roadmap: independent director induction, constitution of Audit/Nomination & Remuneration/Stakeholders' Relationship Committees, related-party transaction framework, and whistleblower/vigil mechanism, in line with SEBI (ICDR) Regulations and (prospectively) SEBI (LODR) Regulations.

•Coordinate with merchant bankers, legal counsel, and auditors during due diligence for Draft Red Herring Prospectus (DRHP) preparation and regulatory filings with SEBI/stock exchanges when the IPO process is initiated.

•Oversee ESOP scheme compliance, cap table accuracy, and related statutory disclosures in the run-up to listing.

- Financial Compliance

•Ensure adherence to financial regulations including RBI guidelines, FEMA (particularly for import of electronic components/raw materials and any foreign investment/ECB), and applicable AML requirements.

•Coordinate with the Finance team on statutory audits, tax audits, transfer pricing compliance, and internal financial controls (IFC) documentation — a key requirement for IPO due diligence.

•Review related-party transactions, inter-company arrangements, and foreign remittances for regulatory compliance and proper board/audit committee approval.

•Monitor compliance with lending/borrowing covenants and working capital facility terms.

•Support internal and external auditors, and progressively align financial control documentation with standards expected of a listed entity.

- Product, Telecom & Export-Import Compliance

•Ensure all telematics/IoT hardware products (GPS trackers, telematics control units, connected modules, etc.) obtain mandatory certifications prior to commercial launch — including WPC/ETA (wireless equipment type approval), BIS registration, and other applicable type-approvals.

•Track compliance with EMC/EMI, safety, and quality standards applicable to electronics manufacturing and telecom equipment.

•Ensure compliance with E-Waste (Management) Rules, RoHS restrictions, and Extended Producer Responsibility (EPR) obligations for electronic products.

•Oversee export-import compliance including IEC registration, DGFT documentation, customs classification, and SCOMET screening where dual-use or restricted technology may be involved.

•Ensure compliance with data protection requirements for telematics/location data under the Digital Personal Data Protection (DPDP) Act, 2023,



and any applicable data localization requirements for connected-vehicle or fleet data.

- Due Diligence

•Conduct legal, financial, and regulatory due diligence for vendor onboarding, supplier qualification, strategic partnerships, and any investment/fund-raising rounds ahead of the IPO.

•Prepare due diligence checklists, reports, and risk assessments for management and board review.

•Verify statutory compliance status, litigation history, IP ownership, and regulatory standing of target entities, key suppliers, and technology partners.

•Build and maintain a due diligence data room in a state of continuous readiness to support legal and financial due diligence by merchant bankers, auditors, and legal counsel during the IPO process.

•Coordinate with external consultants/law firms for specialized due diligence, including IP due diligence relevant to proprietary telematics hardware/firmware/software.

- Policy, Risk & Governance

•Design, implement, and periodically review internal compliance policies, Code of Conduct, anti-bribery/anti-corruption policy, and SOPs suited to a manufacturing and technology organization.

•Conduct compliance risk assessments and maintain an enterprise compliance risk register, with specific focus on risks arising from regulatory change, product certification, and IPO-readiness gaps.

•Roll out compliance training and awareness programs across corporate, R&D;, and plant/shop-floor employees.

•Investigate compliance breaches and whistleblower complaints, and recommend corrective corrective/disciplinary action in line with the vigil mechanism.

•Prepare periodic compliance reports/dashboards for senior management, the Audit Committee, and the Board, including progress against the IPO-readiness compliance roadmap.

Qualifications & Experience

•Bachelor's/Master's degree in Law (LLB/LLM); Company Secretary (CS) qualification strongly preferred given the IPO-preparation mandate; CA/CMA an added advantage.

•7–12+ years of relevant experience in compliance, legal, or corporate governance roles, ideally including exposure to manufacturing, electronics, or technology/telecom sectors.

•Demonstrated experience supporting IPO readiness, SEBI ICDR compliance, or working closely with merchant bankers/auditors during a fundraising or listing process is highly desirable.

•Strong knowledge of the Companies Act, SEBI regulations, FEMA, labour laws, environmental/E-waste regulations, and telecom/wireless certification requirements (WPC/BIS).

•Prior experience in legal/financial due diligence, M&A; support, or corporate transactions is an advantage.

Key Skills

•Robust analytical and regulatory research skills, with the ability to interpret cross-domain regulations (corporate, financial, telecom, environmental).

•Excellent drafting, documentation, and disclosure-writing ability suited to board and regulatory submissions.

•Stakeholder management across manufacturing plants, R&D;, Finance, HR, and external advisors (legal counsel, auditors, merchant bankers).

•High attention to detail, integrity, and the ability to operate independently under regulatory deadlines.

•Proficiency in compliance management tools/software and MCA/SEBI filing portals.
