Job Title: Company Secretary

Qualification: Company Secretary (ICSI qualified) - Mandatory

Job Purpose

To ensure end-to-end statutory and secretarial compliance for PBIL in accordance with the Companies Act, 2013, and other applicable corporate laws, and to support the Board and Management in governance and compliance matters.

Key Responsibilities

- Ensure complete compliance under the Companies Act, 2013, SEBI regulations (if applicable), FEMA, and other statutory/regulatory requirements
- Convene, organize, and manage Board Meetings, Committee Meetings, and Annual General Meetings (AGMs); prepare notices, agendas, and minutes
- Draft and vet resolutions, agreements, and other corporate/legal documents
- Maintain and update statutory registers, records, and minute books as required under law
- Handle timely filing of e-forms and statutory returns with the Registrar of Companies (ROC)



and other regulatory authorities
- Liaise with statutory auditors, legal counsel, ROC, and other regulatory bodies
- Advise the management on corporate governance, compliance risk, and secretarial matters
- Support due diligence, corporate restructuring, or other special projects as required
- Ensure compliance calendar is maintained and adhered to across all applicable laws

Desired Candidate Profile
- Qualified Company Secretary (ICSI) with 4-5 years of post-qualification experience, preferably in a manufacturing/FMCG or corporate setting
- Strong working knowledge of the Companies Act, 2013, and related compliance frameworks
- Prior experience independently handling Board processes and ROC filings
- Strong drafting, communication, and stakeholder management skills
- High attention to detail and ability to work independently

Work Days: 6 days a week | Shift: 9:00 AM - 5:00 PM
