CleanEdge India operates as a subsidiary of the group's Singapore holding company, and the group is regularly engaged in cross-border activity spanning FEMA/RBI approvals, inbound investment structuring (FDI), and debt instruments such as NCDs and ECBs to fund its project pipeline.
Key Responsibilities
- Own end to end secretarial compliance for the Company and its Indian subsidiaries under the Companies Act, 2013, applicable rules, Secretarial Standards and other corporate laws.
- Manage Board, and shareholder meetings, including notices, agendas, resolutions, minutes, action trackers and all routine/eventbased MCA/ROC filings; maintain statutory registers, minute books and corporate records.
- Advise and coordinate approvals for share issuances/transfers/allotments, changes in capital, appointment/resignation of directors and KMPs, loans, guarantees, investments, related-party transactions, beneficial ownership/SBO and other corporate actions.
- Maintain a central group compliance calendar and entity repository covering constitutional documents, shareholding, directors, authorised signatories, licences, filings and key corporate records.
- Coordinate corporate and statutory compliance for overseas entities with local counsel/company secretaries/service providers, including annual filings, board/shareholder actions, director requirements, renewals, notarisation/apostille/legalisation and record-keeping.
- Well versed with FEMA/RBI compliance for FDI, securities allotments/transfers and other cross-border transactions, working with Finance, Legal and external advisers as required.
- Provide secretarial support for investments, joint ventures, restructurings, SPV incorporations, due diligence, data rooms, closing actions and post-closing filings.
- Manage secretarial aspects of share capital records, allotments and depository/RTA coordination, where applicable.
Support IPO-readiness/pre-IPO work, including corporate housekeeping, remediation of historical gaps, governance framework/policies, due diligence, coordination with counsel, auditors and other advisers.
- Coordinate secretarial audits and compliance reviews; proactively identify gaps, track remediation and keep management updated on relevant regulatory changes.
Qualification & Experience
- Qualified Company Secretary and member of ICSI with 8–10 years of relevant post-qualification experience.
- Strong working knowledge of the Companies Act, 2013, Secretarial Standards, MCA/ROC processes and practical exposure to FEMA/RBI compliance.
- Demonstrated experience independently handling multiple subsidiaries/group entities and complex corporate actions;
- Experience supporting investments, JVs, restructuring, fund raises is preferred; pre-IPO/IPO-readiness experience will be an added advantage.
- Hands-on, highly organised and able to work independently with senior management, directors, auditors, investors and external advisers.
