Job Overview

CA Aprmay Kumar & Associates is looking for an experienced Company Secretary with strong knowledge of corporate law, statutory compliance, corporate governance, and secretarial practices.

The candidate will be responsible for managing corporate secretarial assignments, MCA/ROC compliances, corporate documentation, regulatory filings, corporate actions, and client coordination.

The role requires the ability to independently manage assignments, track statutory deadlines, prepare legal and secretarial documents, and coordinate with clients, regulatory authorities, consultants, and legal professionals.

Key Responsibilities

- Manage corporate secretarial and statutory compliance requirements.
- Ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
- Prepare and file MCA/ROC forms, annual returns, and event-based filings.
- Prepare notices, agendas, resolutions, and minutes for Board and General Meetings.
- Maintain statutory registers, corporate records, and secretarial documentation.
- Coordinate with clients, MCA/ROC, government authorities, consultants, and legal professionals.
- Monitor statutory deadlines and ensure timely completion of compliances.
- Review corporate records and identify pending or upcoming compliance requirements.

Corporate Actions

Handle and assist with

- Incorporation of companies and LLPs
- Appointment, resignation, and changes in directorship
- Allotment and transfer of shares
- Increase or reduction of share capital
- Alteration of MOA/AOA
- Change in registered office, company name, and objects
- Loans, investments, and related-party transactions
- Creation, modification,



and satisfaction of charges
- Strike-off and closure of companies/LLPs
- Corporate restructuring and related secretarial matters

MCA & ROC Compliance
- Prepare and file applicable forms through the MCA portal.
- Review MCA master data and identify applicable compliance requirements.
- Handle annual and event-based filings.
- Coordinate with clients to collect required documents and information.
- Track SRNs, challans, and filing acknowledgements.
- Follow up on resubmissions, MCA queries, and pending filings.
- Maintain proper records and documentation of all filings.

Legal Drafting & Documentation The candidate should be able to draft and review:
- Board and shareholder resolutions
- Notices, agendas, and minutes
- Declarations, undertakings, and affidavits
- Authorisation letters and agreements
- Applications, representations, notices, and replies
- Certificates and other secretarial documents

The candidate should be comfortable preparing professional correspondence with clients, government authorities, consultants, and legal professionals.

Additional Responsibilities

- Assist with NCLT, IBC, Secretarial Audit, and Due Diligence matters.
- Monitor changes in corporate laws, rules, regulations, and regulatory requirements.
- Maintain updated knowledge of applicable secretarial standards.
- Manage multiple assignments simultaneously and ensure timely completion.




- Coordinate with internal teams and external professionals as required.
- Maintain accurate records of corporate and statutory documentation.

Required Qualifications & Experience
- Qualified Company Secretary (CS) with valid ICSI membership.
- Minimum 5+ years of relevant experience, preferably post-qualification.

Compensation

50,000 – 60,000 per month
