Job Summary

Role Overview: We are looking for a Legal Corporate Counsel to manage corporate and commercial legal matters, including contract drafting, review and negotiation, corporate compliances, legal research, risk management, and due diligence. The role will work closely with business, finance, procurement, technical, and external legal teams to provide practical legal support and ensure regulatory compliance, particularly within a technology, infrastructure, data centre, or IT setting.

Key Responsibilities

- Draft, review and negotiate commercial and corporate agreements, including MSAs,

- NDAs, MOUs, vendor agreements, service agreements, lease agreements, LOIs and other business contracts.

- Review contracts from a legal and commercial risk perspective, including clauses relating to liability, indemnity, confidentiality, IP, payment, warranties, termination, SLA and dispute resolution.

- Assist in corporate legal matters and compliances under the Companies Act and other applicable laws.

- Conduct legal research and provide practical legal inputs to internal stakeholders.

- Support due diligence, corporate transactions,



financing documentation and strategic projects.

- Maintain and track contracts, legal notices, obligations, renewals and other legal documentation.

- Coordinate with external counsel, consultants, customers, vendors and other stakeholders on legal matters.

- Assist in identifying and mitigating legal and contractual risks across business operations.

- Support preparation of legal summaries, management notes, contract trackers and other internal legal documentation.
