Job Description: In this role, you will assist with: ▪ Transaction advisory, group reorganizations, tax efficient acquisitions and disposals of shares or business ▪ Implementation of scheme of amalgamation / arrangement, capital reduction etc. through relevant regulatory authorities ▪ Conceptualization of cash repatriation strategies ▪ Structuring inbound and outbound investments ▪ Conducting vendor and buy side tax due diligence and preparing detailed due diligence review reports ▪ Research and analysis of Direct Tax laws & judicial precedents, Corporate laws, SEBI regulations, FEMA (inbound & outbound), Stamp Duty and allied laws ▪ FEMA compliances, including ODI, FDI and ECB Professional Technical Capabilities: ▪ Laws and Rules – Understanding of Direct Tax laws (preferably including international taxation), Corporate Laws, SEBI Regulations, FEMA Regulations (ODI, FDI, ECB), Stamp Duty laws, basic understanding of accounting standards to determine their implications on the case ▪ Corporate restructuring – ability to conduct research,
data analysis, understanding of financial statements, interpret laws and evaluate implications from tax and regulatory perspective ▪ Deal Structuring – Evaluate tax and non-tax considerations ▪ Documentation – Draft / review of key transaction documentation (e.G., share purchase agreement, business transfer agreements and key transaction documents) to protect client interests ▪ Due Diligence – Conduct tax due diligence to identify potential tax exposures ▪ Analytical Thinking and Problem Solving - Effectively organize and present complex issues, results and recommendations effectively Other Skills: ▪ Solid communication and presentation skills ▪ Good interpersonal and problem-solving abilities ▪ High attention to detail and commitment to excellence ▪ Effective time management skills ▪ Proficiency in PowerPoint;
