Role & responsibilitie

We are seeking a qualified and experienced Legal professional to manage the organization's contractual, legal, litigation, and criminal-law-related matters. The role will be responsible for drafting and reviewing agreements, advising internal stakeholders on legal risks, coordinating with external advocates and authorities, managing litigation, and ensuring compliance with applicable laws and regulations.

The ideal candidate should have strong knowledge of contract law, criminal law, litigation procedures, legal documentation, statutory compliance, and dispute resolution, with the ability to provide practical and timely legal advice to the business.

Key Responsibilities

1. Contractual & Commercial Legal Matters

- Draft, review, negotiate, and finalize various commercial and business agreements.

- Review agreements such as

- Service Agreements

- Vendor/Supplier Agreements
- Employment-related agreements
- Non-Disclosure Agreements (NDAs)

- Lease/Rental Agreements

- Consultancy Agreements

- Memoranda of Understanding (MOUs)

- Purchase and Work Orders
- Partnership/JV-related agreements, where applicable

- EPC and construction contracts

- Works contracts

- Subcontractor agreements

- Vendor and supplier agreements

- Purchase and supply agreements

- Consultancy agreements
- Joint Venture / Consortium agreements

- Memoranda of Understanding (MOUs)
- Non-Disclosure Agreements (NDAs)

- Letters of Intent (LOIs)
- Work orders and service agreements
- Lease, license, and property-related agreements
- Identify contractual risks, liabilities, indemnity provisions, termination clauses, penalties, warranties, and dispute-resolution mechanisms.
- Provide legal advice to business teams during contract negotiations.
- Maintain a centralized database and records of contracts.
- Monitor contractual obligations, renewals, notices, and termination timelines.
- Advise management on contractual disputes, breaches, claims, and recovery matters.

1. Criminal Matters & Legal Proceedings

- Handle and coordinate criminal complaints and proceedings involving the organization, employees, customers, vendors, or other stakeholders.
- Provide legal assistance in matters involving fraud, cheating, misappropriation, forgery, theft, criminal breach of trust, cyber-related offences, and other applicable offences.
- Draft and review complaints, representations, notices, replies,



affidavits, and other legal documents.
- Coordinate with police authorities, investigating agencies, government departments, and external legal counsel as required.

- Assist management in responding to police notices, summons, inquiries, and investigations.
- Coordinate with advocates for criminal proceedings before appropriate courts and authorities.
- Maintain records of criminal complaints, investigations, hearings, and case status.

- Ensure appropriate escalation of sensitive or high-risk matters to senior management and external counsel.

1. Litigation & Dispute Management

- Manage and maintain a database of civil, criminal, commercial, consumer, labour, and other legal proceedings.
- Coordinate with external advocates and legal consultants.
- Track court dates, hearings, filings, orders, notices, and case developments.
- Prepare case briefs and provide periodic status reports to management.

- Review pleadings and legal submissions prepared by external counsel.
- Assist in developing appropriate legal strategies for disputes.
- Explore settlement, mediation, arbitration, or other dispute-resolution mechanisms where appropriate.

1. Legal Compliance

- Monitor applicable laws, rules, regulations, and judicial developments relevant to the organization.
- Advise departments on legal and regulatory requirements.
- Identify potential legal and compliance risks and recommend appropriate mitigation measures.
- Support internal investigations and fact-finding exercises.
- Assist in developing and updating legal policies, procedures, and standard templates.

1. Legal Notices & Correspondence

- Draft, review, and respond to legal notices and correspondence.
- Issue notices relating to contractual breaches, recoveries, defaults, termination, and other disputes.
- Coordinate responses to notices received from customers, vendors, employees, authorities, advocates, and other parties.
- Maintain proper documentation and evidence relating to legal matters.

1. Internal Stakeholder Support





- Provide timely legal advice to HR, Finance, Procurement, Operations, Sales, Administration, and senior management.
- Conduct legal risk assessments for proposed business activities and transactions.
- Conduct legal awareness sessions for employees where required.
- Ensure sensitive legal information and documents are handled confidentially.

Required Qualifications
- LL.B. / LL.M. from a recognized institution.
- Enrollment with the applicable Bar Council, where required for the role.
- Additional qualification or specialization in corporate/commercial law, criminal law, or litigation will be an advantage.

Required Experience
- __years of relevant legal experience, preferably in an in-house legal department, law firm, or corporate environment.
- Experience in both contractual/commercial matters and litigation/criminal matters.
- Experience coordinating with external advocates, courts, police authorities, and government departments will be preferred.

Preferred Profile The candidate should be a proactive, commercially aware, and solution-oriented Legal professional who can independently manage routine contractual matters while effectively coordinating complex litigation and criminal matters with senior management and external counsel.
