The Opportunity

We are looking for a highly analytical and commercially driven M&A; / Transaction Advisory to join our Investment Banking team in Mumbai.

The role will involve supporting M&A; origination, transaction execution, financial analysis, valuation, deal structuring, due diligence, and client management across a range of industries and transaction sizes.

The ideal candidate should combine strong analytical capabilities with an understanding of M&A; transactions, financial modelling, valuation, and corporate finance.

Key Responsibilities

M&A; Origination &

- Business Development

- Identify and evaluate potential M&A; opportunities across sectors.
- Support origination of acquisition, divestment, strategic investment, and corporate restructuring mandates.
- Research companies, promoters, investors, strategic buyers, PE/VC funds, and other transaction participants.
- Develop and maintain a pipeline of prospective clients and transaction opportunities.
- Assist in preparing client pitches, teasers, information memorandums, presentations, and transaction proposals.
- Participate in client meetings and understand strategic and financial objectives.

Transaction Execution

- Support transactions from initial evaluation through due diligence, negotiation, and closure.
- Prepare and analyse financial models,



valuation analyses, transaction structures, and deal scenarios.
- Conduct Comparable Company Analysis (CCA) and Precedent Transaction Analysis (PTA).
- Assist in preparation of detailed financial and transaction analysis.
- Coordinate with clients, investors, legal advisors, auditors, consultants, and internal teams.
- Track transaction milestones, documentation, and execution requirements.

Research &

- Analysis

- Conduct industry, company, market, competitor, and transaction research.
- Analyse financial statements, operating performance, business models, and growth prospects.
- Evaluate acquisition targets and potential strategic buyers.
- Identify relevant market and transaction trends.

Client &

- Stakeholder Management

- Support senior team members in managing client relationships.
- Coordinate with promoters, founders, CFOs, CXOs, investors, and professional advisors.
- Maintain transaction trackers, CRM records, and opportunity pipelines.
- Support preparation of management and transaction MIS.

Candidate Profile

- 1–5 years of experience in M&A;, Investment Banking, Corporate Finance, Transaction Advisory, Valuation, Big 4 Deals, or related fields.
- Solid understanding of M&A;, valuation, financial modelling, and corporate finance.
- Hands-on knowledge of Excel and PowerPoint.
- Ability to analyse financial statements and interpret business performance.
- Knowledge of CCA, PTA, DCF, and transaction structuring will be preferred.
- Strong research, analytical, problem-solving,



and presentation skills.
- Excellent communication and stakeholder-management abilities.
- Commercial mindset with strong attention to detail.
- Ability to work under tight timelines in a fast-paced Investment Banking setting.

Education Mandatory: Bachelor's degree in Finance, Commerce, Economics, Accounting, Business Administration, or a related discipline. Preferred: MBA/PGDM –

- Finance, CA, CFA, or relevant Investment Banking / Financial Modelling certification.
