Role Overview
We are looking for a Legal Counsel – Corporate & Commercial with a strong foundation in corporate and commercial law to manage the day-to-day legal requirements of the organization.
The role will focus on drafting, reviewing, and vetting commercial and corporate agreements, including MoUs, SLAs, MSAs, NDAs, lease deeds, leave & licence agreements, share purchase agreements, and related documentation.
The Legal Counsel will own the end-to-end contract lifecycle, from intake and negotiation through execution, repository management, renewal and expiry tracking, and termination. The role will also involve responding to counterparty queries and notices arising under existing agreements.
Additionally, the role will cover:
- Drafting legal notices and responses.
- Advising on data privacy compliance under the DPDP Act, 2023, GDPR, and HIPAA.
- Advising on employment matters, Labour Codes, and applicable labour laws.
- Preparing employment-related documentation.
- Handling matters before labour authorities, including conciliation proceedings.
- Coordinating civil, criminal, labour, and Section 138 Negotiable Instruments Act matters.
- Maintaining a legal tracker and providing periodic MIS reports to management.
With operations spanning India, the United States, and other jurisdictions, this role offers significant exposure to cross-border commercial and corporate legal work. About You The ideal candidate:
- Is a law graduate with 2–6 years of experience in corporate and commercial legal work, whether in-house, with a law firm, or a combination of both.
- Has solid drafting and reviewing skills and can translate business requirements into practical and well-balanced agreements.
- Is highly organized and capable of managing contracts, obligations, renewals, expiries, and compliance requirements.
- Is comfortable negotiating with counterparties and external counsel.
- Can communicate legal risks and requirements to business teams in a clear and practical manner.
- Keeps up to date with data privacy regulations and India's Labour Codes and can apply them to real-world business situations.
- Takes ownership of matters from start to finish and can work independently in a fast-paced environment.

- Draft, review, and vet a wide range of commercial and corporate agreements, including:

- Vendor and consultancy agreements

- Support corporate transactions and restructuring by preparing transaction and supporting documentation in coordination with internal teams and external advisors.

- Negotiate contract terms with clients, vendors, landlords, and other counterparties while balancing commercial objectives with the company's risk position.
- Maintain a centralized contract repository containing key terms, obligations, renewal dates, lock-in periods, and expiry dates.
- Monitor upcoming renewals and expiries and issue renewal, non-renewal, and termination notices within the required timelines.
- Manage contract exits when agreements expire or are no longer required.
- Respond to counterparty queries, change requests, notices, and correspondence arising under existing agreements.

- Recovery of dues

- Advise on compliance with:
- Digital Personal Data Protection Act, 2023 (DPDP Act)
- EU General Data Protection Regulation (GDPR)
- US Health Insurance Portability and Accountability Act (HIPAA)
- Apply relevant data protection requirements when drafting notices, agreements, and data-related clauses.
- Draft and review:
- Data Processing Agreements (DPAs)
- Privacy policies
- Confidentiality provisions
- Other data protection documentation
- Labour & Employment
- Advise on compliance with the Labour Codes and applicable central and state labour and employment laws.
- Draft and review employment-related documentation, including:
- Offer letters
- Appointment letters
- HR policies
- Separation and settlement documents
- Handle matters before labour authorities, including conciliation proceedings, in coordination with management and external counsel.
- Litigation & Legal Tracker
- Handle and coordinate:
- Civil matters
- Criminal matters
- Labour and employment matters
- Section 138 Negotiable Instruments Act matters
- Maintain a comprehensive legal tracker covering:
- Case status
- Next hearing dates
- Orders
- Risk exposure
- Contract milestones
- Prepare and share periodic MIS reports with management.
- Review legal invoices and support legal cost management.
Key Skills & Requirements
- Strong drafting and vetting skills across corporate and commercial agreements.
- Working knowledge of the DPDP Act, 2023, GDPR, and HIPAA.
- Good understanding of the Labour Codes and applicable labour and employment laws.
- Strong negotiation skills with the ability to manage multiple counterparties and timelines.
- Excellent organizational and contract management skills.
- Strong ability to manage contract repositories, renewals, and expiry tracking.
- Excellent written and verbal communication skills in English.
- Proficiency in MS Word, including Track Changes and Comments.
- Prior litigation experience in civil, criminal, labour, or Section 138 NI Act matters will be an added advantage.
- Exposure to cross-border India–US commercial work will be an added advantage.
Qualification & Experience
- LL.B. (5-year integrated) from a reputed university or law school – minimum requirement.
- 2–6 years of relevant experience in corporate and commercial legal work.
- Enrolment with a State Bar Council is preferred.
- LL.M. will be considered an added advantage.
- Prior experience in an in-house legal team or corporate law firm will be preferred.
