Role Overview

Roofsol Energy Pvt. Ltd. is looking for an experienced Corporate Lawyer to manage and oversee the company's legal and contractual requirements, with a key focus on land-related documentation, Power Purchase Agreements (PPAs), rooftop OPEX business, corporate legal matters, and HR-related legal issues.

The candidate will work closely with the Management, Finance, Projects, Business Development and HR teams to ensure legal compliance, effective contract management, risk mitigation and timely resolution of legal matters.

Key Responsibilities

1. Land & Property Legal Matters

· Review and oversee legal documentation related to land purchase, lease, license and acquisition for solar projects.

· Conduct and coordinate legal due diligence of land documents, title records, ownership documents and encumbrances.

· Coordinate with external advocates, legal consultants, landowners and relevant authorities for land-related matters.

· Identify potential legal risks in land transactions and recommend appropriate mitigation measures.

· Review and draft land-related agreements, MoUs, lease deeds, sale deeds and other relevant documents.

2. PPA & OPEX Business

· Draft, review and negotiate Power Purchase Agreements (PPAs) for rooftop OPEX / RESCO solar projects.





· Review agreements with customers, project partners, vendors, contractors and other stakeholders.

· Ensure appropriate clauses relating to payment obligations, tenure, termination, performance, liability, indemnity, force majeure and dispute resolution.

· Support the business team in identifying and mitigating contractual and commercial risks.

3. Corporate & Commercial Legal Matters

· Handle day-to-day corporate and commercial legal matters of the organisation.

· Draft, review and negotiate various commercial agreements, MoUs, NDAs, service agreements, vendor agreements and other contracts.

· Provide legal opinions and guidance to Management and internal departments on business-related matters.

· Maintain proper records of legal agreements, notices, contracts and other legal documentation.

· Coordinate with external legal counsel on litigation, notices, disputes and other specialised legal matters.

4. HR & Employment Law

· Advise HR and Management on employment-related legal matters, employee disputes and disciplinary issues.

· Review employment agreements, appointment letters, HR policies and other employee-related documentation from a legal perspective.





· Support HR in matters relating to labour and employment laws, statutory compliance, employee grievances and separation-related issues.

· Assist in drafting responses to legal notices and employee-related claims, wherever required.

5. Compliance & Risk Management

· Monitor applicable corporate, commercial, contractual, labour and other relevant legal requirements.

· Ensure timely compliance with legal and regulatory obligations applicable to the business.

· Identify potential legal and contractual risks and provide practical recommendations to Management.

· Develop and maintain standard legal templates, checklists and contract review processes.

Educational Qualification

· LLB / LLM from a recognised university.

· Candidates with relevant experience in corporate legal, renewable energy, infrastructure, EPC or real estate sectors will be preferred.

Experience

· 8–10 years of relevant legal experience , preferably in corporate/commercial legal roles.

· Experience in the renewable energy / solar / EPC / infrastructure sector would be an added advantage.

· Candidates should have hands-on experience in land documentation, commercial contracts and PPA-related legal work .

Candidate Requirement

· Location: Mumbai only.

· Candidate should be comfortable working from the Mumbai office and coordinating with multiple internal and external stakeholders.

· Strong communication skills and the ability to independently handle legal matters are essential.
