Job Summary The Compliance Officer is responsible for ensuring that the AIF Investment Manager operates in full compliance with the SEBI (Alternative Investment Funds) Regulations, 2012, SEBI circulars, applicable securities laws, and internal policies. The role supports strong governance, regulatory compliance, and ethical conduct across the firm’s AIF activities Key Responsibilities Regulatory Compliance &

• SEBI Interface Ensure ongoing compliance with: . o SEBI (Alternative Investment Funds) Regulations, 2012 o SEBI Act, 1992 and applicable SEBI circulars and guidelines Act as the primary point of contact with SEBI, including handling inspections, audits, queries, and regulatory correspondence. Monitor regulatory updates issued by SEBI and assess their impact on the AIF, Investment Manager, and sponsors. Ensure compliance with conditions of AIF registration and investment restrictions applicable to the AIF category (Category I, II, or III). Policies, Procedures &

• Internal Controls Develop, implement, and periodically review compliance policies and procedures, including: o Code of Conduct o Conflict of interest management o Insider trading and unpublished price sensitive information (UPSI)



o Personal trading and disclosures o Valuation policies o Risk management framework Ensure internal policies are aligned with SEBI regulations and are effectively implemented across the organisation.

Compliance

Monitoring &

• Reporting Design and execute a compliance monitoring framework covering investment activities, disclosures, governance, and operations. Identify, document, and report compliance breaches to senior management and the Board, and oversee corrective actions. Prepare and submit periodic compliance reports to the Board and Trustees (where applicable). Coordinate annual compliance audits as required under SEBI regulations.

Regulatory

Filings &

• Disclosures Oversee timely and accurate regulatory filings, including: o Quarterly and annual reports to SEBI o Material change filings o Investor disclosures and reporting Review and approve offering documents, private placement memoranda (PPMs), and investor communications for regulatory compliance. Advisory &

• Business Support Provide ongoing compliance advice to investment, operations, finance, and investor relations teams. Review marketing and fundraising materials to ensure compliance with SEBI fundraising and solicitation norms. Support new fund launches, structuring, and amendments from a regulatory perspective. Training &

• Governance Promote a robust compliance culture and awareness of regulatory obligations across the firm.

Professional requirements - Bachelors in LLB, Economics, or any related field - - Qualified Company Secretary 3-7 years of experience in a related role

Pay: ₹600,000.00 - ₹1,200,000.00 per year
