Role & responsibilities

- Perform 409A valuations for privately held companies to determine the Fair Market Value (FMV) of common stock.
- Develop and review financial models for valuation assignments.
- Apply valuation methodologies such as:
- Discounted Cash Flow (DCF)
- Market Approach / Comparable Company Analysis (CCA)
- Precedent Transaction Analysis
- Option Pricing Method (OPM)
- Probability-Weighted Expected Return Method (PWERM)
- Perform capitalization table analysis and evaluate different classes of equity securities.
- Conduct analysis of preferred stock, common stock, stock options, warrants, and other equity instruments.
- Assist in determining appropriate discount rates, volatility, liquidity discounts (DLOM), and other valuation assumptions.
- Perform industry, market, and company-specific research to support valuation conclusions.




- Prepare comprehensive 409A valuation reports and supporting documentation.
- Review historical and projected financial statements and assess key business assumptions.
- Work with senior team members and clients to gather financial, operational, and capitalization data.
- Support ESOP, equity compensation, transaction, and other business valuation assignments as required.
- Ensure valuation analyses are consistent with ASC 820, IRS Section 409A, and relevant valuation standards.

Preferred candidate profile Min 4-8 of valuation and/or consulting exp

Exp working in Big Fours valuation team, or a leading valuation firm will have a preference

MBA (Premier B-School)

MS (Finance),CA & CFA (CFA Institute, US)
