Responsible for assisting in company secretarial activities, statutory compliance, corporate governance, and maintenance of statutory records in accordance with the Companies Act and other applicable regulations.

Key Responsibilities :

- Assist in ensuring compliance with the Companies Act, SEBI regulations, and other applicable laws.
- Maintain statutory registers, records, minutes books, and other secretarial documents.
- Prepare notices, agendas, minutes, and resolutions for Board and Committee meetings.
- Coordinate and assist in conducting Board Meetings, General Meetings, and Committee Meetings.
- Assist in preparation and filing of statutory forms and returns with the MCA/ROC.
- Support the Company Secretary in ensuring timely completion of statutory and regulatory compliances.
- Maintain records relating to directors, shareholders, share transfers, and other corporate matters.
- Assist with preparation of annual reports and other corporate documents.
- Coordinate with auditors, legal advisors, regulators, and other skilled consultants.
- Monitor changes in applicable laws, rules,



regulations, and circulars and assist in implementing necessary compliance requirements
- Provide support for corporate governance and secretarial audits.
- Maintain proper documentation and ensure confidentiality of company records.
- Perform any other secretarial and compliance-related responsibilities assigned by the Company Secretary.

Required Skills & Qualifications:

- Trainee, Semi-Qualified CS or Qualified Company Secretary (CS).
- Graduate degree in Commerce, Law, or a related field preferred.
- Good knowledge of the Companies Act, MCA filings, and corporate secretarial practices.
- Strong drafting, documentation, and communication skills.
- Good knowledge of MS Office, particularly Word and Excel.
- Strong attention to detail and ability to manage statutory deadlines.
- Good coordination and organizational skills.
- Prior experience in a listed/public/private limited company will be an advantage.
