We are looking for a lawyer who can go beyond simply drafting documents — someone who can understand the client's business, identify legal and commercial risks, advise the client and translate that advice into practical legal solutions.

Role Overview

As a Senior Associate / Client-Facing Corporate Lawyer , you will independently manage client consultations and legal matters across corporate-commercial transactions, contracts, labour and employment law, risk mitigation and shareholder-related documentation.

The role requires strong legal analysis, drafting ability, commercial understanding and client-handling skills .

You will be expected to take ownership of matters from understanding the client's requirement → analysing the legal/commercial risk → advising the client → drafting/reviewing documents → negotiating where required → closing the matter.

Key Responsibilities1. Client Consultation & Advisory

- Conduct independent consultations with founders, promoters, management and businesses.
- Understand the client's business, commercial objective and underlying legal problem before suggesting a solution.
- Identify legal, commercial and operational risks and explain them clearly to non-lawyers.
- Provide practical, commercially workable legal advice rather than purely theoretical legal opinions.
- Clearly communicate the pros, cons, risks, alternatives and implications of different courses of action.
- Identify when additional facts, documents or legal research are required before giving advice.
- Maintain professional client relationships and ensure timely follow-ups and closure of matters.

1. Contract Drafting & Review

- Draft, review and negotiate a wide range of commercial agreements.
- Handle agreements including:
- Service Agreements
- Vendor / Supplier Agreements
- Consultancy Agreements




- Employment / Employment-related documents
- NDA / Confidentiality Agreements
- Master Service Agreements
- Partnership / Business Agreements
- Franchise / Distribution Agreements
- Commercial Terms & Conditions
- Vendor and client contracts
- Other corporate-commercial documentation
- Identify commercially unfavorable clauses and suggest appropriate alternatives.
- Review contracts from a risk, commercial and enforceability perspective , not merely for language or formatting.
- Ensure consistency between commercial discussions and contractual terms.

1. Shareholder & Corporate Transaction Documentation

- Assist in drafting and reviewing shareholder and corporate transaction documents.
- Work on documents such as:
- Shareholders' Agreements
- Share Subscription Agreements
- Share Purchase Agreements
- Investment Agreements
- Term Sheets
- Founders' Agreements
- Share Transfer Documents
- Exit / Buyout documentation
- Board and shareholder resolutions
- Ancillary transaction documents
- Understand key commercial concepts such as investment, ownership, transfer restrictions, dilution, rights of shareholders, exit mechanisms and governance.
- Coordinate with clients and internal teams to ensure transaction documentation accurately reflects the agreed commercial terms.

1. Labour & Employment Laws

- Advise clients on employment-related legal issues and workplace matters.
- Draft/review employment agreements, HR policies, disciplinary documentation, separation documents and related communications.
- Advise on employee exits, misconduct, termination, notice periods, confidentiality, restrictive covenants and other employment-related risks.
- Conduct legal research on applicable labour and employment laws and translate the findings into practical business advice.
- Support clients in developing legally compliant HR processes and policies.

1. Legal Risk Mitigation

- Proactively identify legal risks before they become disputes.
- Conduct legal risk assessments of contracts,



business arrangements and proposed actions.
- Develop practical mitigation strategies based on:
- Probability × Impact × Commercial Reality × Cost of Mitigation.
- Identify gaps in documentation, processes and evidence.
- Recommend preventive legal measures to reduce future disputes.
- Assist clients in developing legally sound processes rather than only solving problems after they arise.

1. Legal Notices & Dispute Prevention

- Draft and review legal notices, responses and pre-litigation communications.
- Analyse disputes from both legal and commercial perspectives before recommending action.
- Review available evidence including contracts, invoices, emails, WhatsApp communications, POs and other business records.
- Advise clients on possible courses of action and the risks associated with each.
- Work closely with litigation teams where a matter requires escalation.

1. Legal Research & Analysis

- Conduct independent legal research using appropriate primary and secondary legal sources.
- Analyse statutes, rules, regulations, case law and regulatory developments.
- Convert research into clear, actionable advice for clients and internal teams.
- Distinguish between established law, interpretation, uncertainty and commercial recommendation.

1. Internal Quality & Knowledge Building

- Maintain high standards of drafting and client advisory.
- Review and improve templates, precedents and legal processes.
- Contribute to SOPs, legal knowledge resources and internal training.
- Support junior lawyers in improving drafting, research and client consultation skills.
- Participate in internal matter reviews and quality audits.

What We Are Looking ForMust Have
- LL.B. from a recognised law university.
- 4–6 years of relevant experience in corporate-commercial / general corporate practice.
- Strong experience in client consultation and advisory .
- Strong contract drafting and reviewing skills.
- Practical understanding of labour and employment laws .
- Experience in identifying and mitigating legal and commercial risks.
- Exposure to shareholder and investment transaction documentation .
- Strong legal research and analytical ability.
- Excellent written and verbal communication.
- Ability to independently manage client matters and deadlines.
