Manager / Senior Manager - Company Secretary
Location - Airoli, Navi Mumbai
Reporting to - Senior General Manager - Company Secretary
Role To independently manage the secretarial, governance and regulatory compliances for a portfolio of 10-15 entities within the Group. The role involves ensuring compliance with provisions of the Companies Act, 2013 and related regulations, maintaining statutory records, coordinating board and shareholder meetings, supporting governance initiatives, and acting as a trusted advisor to management on corporate law matters.
Key Responsibilities
Corporate Secretarial & Governance
- Manage end-to-end secretarial compliances for 10-12 entities limited companies.
- Ensure compliance with the provisions of the Companies Act, 2013, applicable rules and other corporate laws.
- Prepare and maintain statutory registers, records, minutes books and corporate secretarial documentation.
- Draft, review and finalise Board Meeting notices, agendas, notes, resolutions and minutes.
- Assist in conducting Board Meetings, Committee Meetings and Shareholder Meetings.
- Ensure timely implementation of board decisions and maintenance of governance records.
- Advise on corporate governance and secretarial best practices.
Regulatory Compliance
- Ensure timely filing of statutory forms, annual filings and event-based compliances with the Registrar of Companies (ROC).
- Monitor compliance calendars and ensure adherence to statutory timelines.
- Liaise with regulatory authorities, consultants and legal advisors as required.
- Ensure compliance with Director related provisions including DIN, DSC and KYC requirements.
Corporate Transactions & Restructuring
- Support inter-company transactions and corporate restructuring initiatives.
- Handle matters relating to issue/allotment/transfer/transmission of shares.
- Assist in capital restructuring, rights issues, mergers,
demergers and other corporate actions, wherever applicable.
- Coordinate due diligence exercises and secretarial reviews.
Stakeholder Management
- Coordinate with Auditors, Bankers, Consultants and internal stakeholders.
- Respond to corporate governance and compliance queries from internal teams.
Audit & Compliance Monitoring
- Support secretarial audits, internal audits and statutory audits.
- Review compliance status periodically and identify gaps and risks.
- Drive corrective actions and strengthen governance processes.
Documentation & Record Management
- Maintain statutory secretarial records and documents.
- Ensure proper digitisation and archival of secretarial records.
- Manage secretarial databases and compliance management tools.
Desired Candidate Profile
Qualification
Mandatory - Qualified Company Secretary (ACS/FCS) from ICSI.
Preferred - LL.B.
Experience
Manager/ Senior Manager - 7-8 years of post-qualification experience in secretarial and compliance functions.
Preferred Exposure - Experience in independently managing multiple entities simultaneously.
Technical Competencies
- Robust knowledge of Companies Act, 2013 and corporate secretarial practices.
- Hands-on experience in MCA filings and ROC compliances.
- Strong drafting skills for minutes, resolutions and corporate documents.
- Exposure to corporate restructuring and governance matters.
- Familiarity with compliance management systems and document management tools.
- Proficiency in MS Office applications.
