Key Responsibilities
- Provide legal support for private equity and venture capital transactions, including fundraising and investor onboarding.
- Assist in investor due diligence, deal structuring, and negotiation processes.
- Draft, review, and negotiate investment and corporate documents such as Term Sheets,
Share Subscription Agreements (SSA), Shareholders’ Agreements (SHA), and related ancillary agreements.
- Ensure compliance with applicable laws and regulations, including the Companies Act,
2013, FEMA regulations, and the Foreign Direct Investment (FDI) Policy.
- Manage and monitor post-investment compliances, filings, and statutory obligations.
- Advise on corporate governance, board matters, and shareholder-related issues.
- Draft board resolutions,
shareholder resolutions, minutes, and corporate policies.
- Assist in reviewing and structuring exit-related provisions, including ESOPs, secondary transfers, buybacks, mergers, and acquisitions.
- Coordinate with external legal counsel, consultants, and regulatory authorities to ensure transaction readiness and compliance.
- Maintain legal documentation, compliance trackers, and data rooms for audits and due diligence.
- Provide legal support on commercial contracts, vendor agreements, and business partnerships as required.
- Stay updated on regulatory developments and assess their impact on the organization.
- Support internal stakeholders by offering practical and business-oriented legal advice.
Eligibility Criteria:
- Education: LL.B. from a recognized university (mandatory).
- Experience: 4–8 years of relevant experience in corporate law, private equity, venture capital, or a reputed law firm/in-house legal team.
- Prior experience in startups, D2C, or consumer brands will be preferred. Key Skills
- Strong knowledge of the Companies Act, 2013, FEMA, and FDI regulations.
- Expertise in drafting, reviewing, and negotiating legal agreements.
- Understanding of private equity and venture capital transactions.
- Familiarity with corporate governance and regulatory frameworks.
- Excellent analytical, research, and problem-solving skills.
- Strong communication and stakeholder management abilities.
- High attention to detail and organizational skills.
- Ability to work in a fast-paced and dynamic environment.
