Position Overview

We are looking for an experienced Senior Manager / AGM – Legal (Due Diligence) to independently manage legal due diligence for land, real estate properties, apartments, plotted developments and development opportunities.

The candidate will be responsible for establishing clear and marketable title, identifying legal and commercial risks, verifying statutory and development approvals, and ensuring timely completion of legal documentation for land acquisitions, joint development, redevelopment and project development transactions.

The role requires solid hands-on experience in real estate title due diligence, land laws, property documentation, development regulations and transaction documentation, preferably with a real estate developer.

Key Responsibilities

1. Legal Due Diligence – Land & Properties

- Independently conduct end-to-end legal due diligence of land parcels and real estate properties proposed for acquisition or development.
- Examine title documents, ownership records, chain of title and historical transactions.
- Verify the continuity and marketability of title and identify any title defects or legal risks.
- Review sale deeds, conveyance deeds, gift deeds, partition deeds, release deeds, development agreements, powers of attorney and other title documents.
- Examine encumbrances, mortgages, charges, liens, litigation, claims and third-party rights.
- Review land records, revenue records, mutation entries, survey records and other applicable government records.
- Prepare comprehensive Title Due Diligence Reports / Legal Due Diligence Reports with identified risks and recommendations.
- Coordinate with external advocates, legal consultants, surveyors and other professionals wherever required.
- 2. Land Acquisition & Transaction Support

- Provide legal support for acquisition of land and properties for residential, plotted and other real estate projects.
- Conduct legal assessment of prospective acquisition opportunities before commercial negotiations.




- Identify legal risks associated with land ownership, possession, access, development rights and transferability.
- Support management in evaluating acquisition structures and transaction risks.
- Assist in negotiations with landowners, developers, societies, investors and other stakeholders from a legal perspective.
- Ensure that transaction structures adequately protect the company's interest.
- 3. Joint Development / JV Transactions

- Handle legal due diligence and documentation for Joint Development Agreements (JDA), Joint Ventures (JV), Development Agreements, Development Management Agreements and other project development structures.
- Review and negotiate commercial and legal terms in development agreements.
- Ensure appropriate clauses relating to development rights, consideration, revenue/profit sharing, timelines, approvals, termination, indemnity and dispute resolution.
- Verify the development rights and authority of the landowner/developer before execution of agreements.
- Identify risks relating to title, possession, encumbrances, approvals and third-party claims.
- 4. Statutory & Development Approvals

- Verify statutory, planning and development approvals required for proposed projects.
- Review applicable land-use permissions, zoning, conversion orders, layout approvals, building permissions and development-related approvals.
- Coordinate with internal project, development, liaisoning and technical teams to ensure legal compliance.
- Review approval status and identify pending approvals or potential regulatory risks.




- Ensure that proposed transactions are legally feasible from a project development perspective.
- 5. Litigation & Risk Management

- Conduct litigation searches and identify pending or potential disputes relating to land/property.
- Review court cases, notices, claims and disputes affecting title or development rights.
- Assess the impact of litigation on acquisition and project development.
- Recommend appropriate risk mitigation measures.
- Coordinate with external counsel on property-related litigation and legal matters.
- 6. Documentation & Contract Management

- Draft, review and negotiate:
- Sale Agreements
- Sale Deeds
- Development Agreements
- Joint Development Agreements
- Joint Venture Agreements
- MoUs
- Term Sheets
- Powers of Attorney
- - Lease Agreements
- Conveyance Documents
- Indemnity Agreements
- Escrow-related documents
- Other real estate transaction documents
- Ensure documentation accurately reflects agreed commercial terms and protects the company's legal interests.
- Coordinate execution, registration and completion of transaction documents.
- 7. Internal & External Stakeholder Management

- Work closely with Business Development, Land Acquisition, Projects, Finance, Sales, Liaisoning and Management teams.
- Coordinate with external advocates, consultants, landowners, brokers, government authorities and other stakeholders.
- Provide clear legal opinions and practical recommendations to management.
- Track due diligence, documentation and transaction timelines to ensure timely closure.
- Key Requirements

- LLB / Bachelor of Law is mandatory.
- Additional qualification such as LLM / CS / relevant real estate qualification will be an advantage.
- 10–15 years of relevant legal experience, preferably with a real estate developer, real estate company, law firm or property-focused legal practice.
- Strong hands-on experience in real estate legal due diligence and land title verification.
