Senior Associate – Corporate / M&A;

Role Description
We are looking to hire a Senior Associate – Corporate / M&A; with 5–7 years of post-qualification experience to join our growing corporate practice in New Delhi.
The role will involve hands-on responsibility across M&A;, private equity and strategic investments, joint ventures, corporate restructuring, legal due diligence and general corporate advisory matters, including both domestic and cross-border transactions.
The successful candidate will be expected to take ownership of transaction workstreams, work directly with clients and counterparties and work closely with Partners on structuring, negotiations and execution.
Key Responsibilities
- Advising clients on mergers and acquisitions, private equity and strategic investments, joint ventures and corporate restructuring
- Independently managing legal due diligence exercises and preparing red flag and detailed due diligence reports
- Drafting, reviewing and negotiating transaction documents, including:
- Share Purchase Agreements
- Share Subscription Agreements
- Shareholders’ Agreements
- Business Transfer Agreements
- Asset Purchase Agreements
- Joint Venture Agreements
- Term Sheets and Letters of Intent
- Ancillary transaction documents
- Advising on transaction structuring and applicable corporate and regulatory requirements
- Handling relevant aspects of the Companies Act, FEMA and other applicable laws and regulations
- Coordinating with clients, counterparties, financial and tax advisors and other transaction stakeholders
- Managing transaction timelines, conditions precedent, signing and closing processes
- Providing general corporate and governance advice to clients
- Supervising and mentoring junior members of the team where required
Requirements
- 5–7 years of post-qualification experience in corporate law, M&A;, private equity and/or transactional work
- Solid hands-on experience in M&A; transactions and legal due diligence
- Demonstrated ability to independently manage transaction workstreams
- Excellent drafting, negotiation and analytical skills
- Good understanding of Indian corporate and regulatory laws
- Ability to interact directly with clients and other transaction stakeholders
- Strong commercial judgment, attention to detail and ownership of matters
- Prior experience with a reputed law firm or established corporate legal practice preferred
- We do not have a specific law-school requirement. We are looking for strong transactional experience, sound legal judgment, commercial awareness and the ability to take ownership of matters.
