About the Role
We are looking for a qualified and experienced Company Secretary (CS) with 2–3 years of relevant experience to manage the company's secretarial, legal, regulatory and corporate compliance functions. The ideal candidate should have strong knowledge of the Companies Act, SEBI regulations, corporate governance and IPO readiness, as the company is preparing for its Initial Public Offering (IPO).
The candidate will work closely with the management, auditors, legal advisors, merchant bankers and other professional advisors to ensure that the company is compliant and properly prepared for the IPO process.
Key Responsibilities
1. Secretarial & Corporate Compliance
* Ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
- Maintain statutory registers, records and corporate documents.
- Prepare agendas, notices, minutes and resolutions for Board and General Meetings.
- Coordinate and ensure timely filing of ROC/MCA forms and returns.
- Maintain proper documentation of Board and shareholder approvals.
- Monitor statutory and regulatory compliance calendars.
2. IPO & Listing Readiness
* Support management in pre-IPO preparation and IPO readiness.
- Coordinate with merchant bankers, legal counsel, auditors, consultants and other IPO advisors.
- Assist in preparation, review and verification of information required for DRHP/RHP/Prospectus and related IPO documentation.
- Support due diligence activities and ensure availability of corporate, statutory and legal records.
- Identify and close compliance gaps before IPO filing.
- Assist with stock exchange and regulatory documentation and correspondence.
- Coordinate with relevant professionals for IPO-related approvals, filings and submissions.
- Maintain proper records relating to share capital, promoters, shareholders,
corporate actions and other information required for the IPO.
3. SEBI & Securities Compliance
* Develop working knowledge of SEBI ICDR Regulations and applicable securities laws.
- Support compliance related to SEBI LODR, PIT and SAST Regulations, as applicable.
- Assist in maintaining records and disclosures relating to promoters, directors, key managerial personnel and shareholders.
- Monitor changes in applicable SEBI regulations and communicate relevant requirements to management.
- Coordinate with stock exchanges, depositories and other regulatory authorities as required.
4. Corporate Governance
* Ensure proper functioning and documentation of Board and statutory committees.
- Assist in strengthening corporate governance systems in preparation for becoming a listed company.
- Ensure timely circulation and maintenance of Board papers and statutory records.
- Support implementation of policies, codes and procedures required for IPO/listing readiness.
5. Legal & Regulatory Coordination
* Coordinate with external legal counsel and professional advisors.
- Track legal notices, regulatory communications and compliance requirements.
- Maintain a centralized database of corporate and legal documents.
- Assist management in resolving corporate and secretarial compliance matters.
6. Post-IPO Compliance Readiness
* Develop processes for ongoing listed-company compliance.
- Assist in preparing systems for periodic disclosures and stock-exchange filings.
- Support investor grievance and shareholder-related compliance processes.
- Ensure proper documentation and timely reporting after listing.
Required Qualifications
* Qualified Company Secretary (CS) – mandatory.
- Membership of ICSI preferred/mandatory as applicable to the position.
- 2–3 years of relevant experience in Company Secretarial / Legal & Compliance functions.
- Prior experience in a company preparing for IPO / listing will be highly preferred.

- Stock exchange and SEBI compliances will be preferred.

Compensation
₹45,000 – ₹50,000 per month, depending on experience, qualification and relevant IPO/listing exposure. Additional preference: Candidates with hands-on IPO experience or strong pre-IPO readiness exposure may be considered at the higher end of the salary range.
