The company focuses on managing its capital, evaluating investment opportunities and building a structured approach toward long-term investments, business opportunities and wealth creation.
We are looking for a Company Secretary / Corporate Compliance & Investment Governance professional who can work closely with management and take ownership of corporate compliance, legal matters, investment documentation, financial compliance, risk management and governance.
This is a hands-on role for someone who can understand both law and business .
Key Responsibilities
Corporate & LLP Compliance
- Manage day-to-day LLP and corporate compliance requirements.
- Handle and coordinate MCA/ROC filings and statutory requirements.
- Maintain statutory records, registers, resolutions, minutes and corporate documents.
- Maintain a compliance calendar and ensure deadlines are met.
- Monitor changes in applicable laws and regulations.
- Coordinate with external CS, CA, auditors, lawyers and other qualified advisors.
Corporate Law & Legal
- Maintain strong practical knowledge of the LLP Act, Companies Act and applicable corporate laws.
- Assist management with corporate governance and legal matters.
- Review and coordinate contracts, agreements, NDAs and other legal documents.
- Identify legal and regulatory risks in business and investment transactions.
- Coordinate with legal counsel on complex matters, notices, disputes and documentation.
Investment Governance & Due Diligence
- Maintain proper records of investments and investment-related documents.
- Support management during evaluation and due diligence of investment opportunities.
- Coordinate legal, financial and regulatory due diligence with professional advisors.
- Review ownership, corporate structure, liabilities, contracts, litigation, statutory compliance and other relevant information.
- Maintain investment agreements, term sheets, approvals and transaction records.
- Track significant obligations, reporting requirements and deadlines related to investments.
Finance, Tax & Compliance
- Coordinate with the finance team, CA and tax advisors.
- Support statutory audits and financial compliance.
- Maintain documentation relating to investments, capital movements and financial transactions.
- Monitor tax and statutory compliance deadlines.
- Understand financial statements and basic taxation concepts.
- Assist management in identifying financial and compliance risks.
Risk Management & Internal Controls
- Identify legal, financial, regulatory and operational risks.
- Maintain and monitor a risk register.
- Recommend appropriate controls and corrective actions.
- Assist in developing internal compliance and approval processes.
- Escalate material risks to management.
- Conduct periodic compliance and documentation reviews.
International & U.S. Compliance Knowledge of international and U.S. corporate/compliance matters will be an important advantage.
The candidate should preferably understand or be willing to work with matters involving:
- U.S. LLCs and corporations.
- U.S. state-level entity compliance.
- IRS-related corporate and tax documentation.
- EIN and related documentation.
- FinCEN and beneficial ownership requirements, where applicable.
- U.S. tax forms and withholding documentation relevant to foreign entities/investors.
- Cross-border investment documentation.
- FEMA and other applicable Indian requirements for international transactions.
- Coordination with U.S. attorneys, CPAs, registered agents and other professional advisors.
The candidate is not expected to independently provide U.S. legal or tax advice unless appropriately qualified. However, they should be capable of understanding the requirements, identifying issues and coordinating with qualified U.S. professionals. Management & Reporting
- Work directly with management on important corporate, legal, compliance and investment matters.
- Prepare clear reports on compliance status, risks, pending actions and important deadlines.
- Communicate complex legal or regulatory matters in a simple and practical manner.
- Coordinate effectively with professional advisors and external stakeholders.
- Maintain complete confidentiality of corporate, financial and investment information.

Language & Communication Requirements English — Robust / Professional proficiency is mandatory.
The candidate must be comfortable with:

- Communicating with professional advisors and external stakeholders.
- Presenting compliance and risk matters to management.
Hindi — Native / Fluent proficiency preferred. Gujarati — Good to fluent working proficiency preferred.
The ability to communicate effectively in all three languages will be considered an important advantage for this role.
Education & Experience
Preferred qualifications include
- Company Secretary (CS/ACS) or relevant professional qualification.
- Degree in Commerce, Finance, Law, Business Administration, Corporate Affairs or a related field.
- 2+ years of relevant experience.
However, academic qualification will not be the sole deciding factor. Candidates with strong practical experience, relevant knowledge, proven achievements and the ability to independently handle important responsibilities are encouraged to apply.
